               RECOMMENDED ORDER APPROVING SETTLEMENT
                         BETWEEN WALTER CARTER AND
                 ELECTRICAL DISTRICT NO. 2 OF PINAL COUNTY

     Walter Carter and Electrical District No. 2 of Pinal County
have submitted a Joint Motion to Approve Settlement Agreement and
Order Dismissal, and have included documents which reflect a
settlement of all disputes involved in this litigation.  Both
parties seek approval of the settlement.

     Upon consideration of all settlement documents, including
the Settlement Agreement reached between the parties and the
Joint Motion to Approve Settlement, it is recommended that the
Settlement Agreement between Walter Carter and Electrical
District No. 2 of Pinal County be APPROVED; and it is further
recommended that all proceedings against Electrical District No.
2 of Pinal County in this matter be dismissed.  The terms of the
settlement appear to be fair, adequate and reasonable and
encompass all matters.  Also, as acknowledged by the terms of the
agreement, the confidentiality agreed to between the parties is
not an attempt to prevent either party from communicating
suspected violations of State or Federal laws.
