          RECOMMENDED DECISION AND ORDER APPROVING SETTLEMENT
AGREEMENT


     This matter was scheduled for hearing November 29, 1993 and
prior to this date was reassigned to the undersigned judge. 
Shortly before the hearing, the parties advised that they had
agreed to a settlement.

     Upon consideration of the parties' Motion to Approve
Settlement (filed December 21, 1993); and it appearing that the
signed proposed agreement, attached and incorporated herein, is
fair and reasonable; the motion is granted.  It is hereby

     ORDERED that the settlement agreement be implemented
according to its terms and the complaint is dismissed with
prejudice.
