                 RECOMMENDED ORDER APPROVING SETTLEMENT
                       AND DISMISSING PROCEEDING

     By Order of June 3, 1994, the Secretary rejected the parties'
conciliation agreement dated November 8, 1989 because of the
confidentiality provision in the agreement.  The case was remanded
for a hearing.  The parties subsequently modified the conciliation
agreement by deleting the confidentiality provision in question.

     The conciliation agreement, as modified, appears fair,
reasonable and adequate.  Accordingly,

     IT IS ORDERED that the conciliation agreement as modified on
remand be, and it is, approved.

     IT IS FURTHER ORDERED that the complaint herein be, and it is,
dismissed with prejudice.
