RECOMMENDED DECISION AND ORDER APPROVING 
SETTLEMENT

     This case was scheduled to be heard before the undersigned
on November 22, 1993 in Youngstown, Ohio, but was cancelled by
Order dated October 27, 1993 pending the submission of the
settlement agreement.  On November 10, 1993 Brian W. Scovill,
Esquire, counsel for General Motors Corporation, submitted the
duly executed Settlement Agreement.  The agreement was signed by
all the parties.
     The Settlement Agreement is found to be in compliance with
Section 405 of the Surface Transportation Assistance Act of 1982.
Thus, IT IS ORDERED that the agreement is APPROVED and its terms
incorporated by reference into this Order.
