Cellco Partnership d/b/a Verizon Wireless (“Verizon Wireless”) and Atlantis Holdings LLC (“Atlantis Holdings”) seek the Commission’s consent to transfer control to Verizon Wireless of Atlantis Holdings’ interests in licenses, authorizations and spectrum manager and de facto transfer leasing arrangements held by ALLTEL Corporation (“ALLTEL”), its subsidiaries and controlled partnerships, and partnerships in which ALLTEL has a minority, non-controlling general partner interest. Verizon Wireless is a general partnership in which Verizon Communications Inc. and Vodafone Group Plc, an English public limited company, indirectly hold, through wholly-owned subsidiaries, 55% and 45% of the partnership interests, respectively. Verizon Wireless and Atlantis Holdings therefore also request a declaratory ruling that the public interest would not be served by denying approval of the indirect foreign ownership in the licenses, authorizations, and spectrum manager and de facto transfer leasing arrangements at issue.
