AMENDED ORDER OF FINAL DISTRIBUTION

On November 1, 2000 (Release No. 33-7913), the Commission issued an Order Approving a Plan of Disgorgement Distribution.

On September 12, 2002 (Release No. 33-8129), the Commission issued an Order Approving Amended Plan of Disgorgement Distribution and Ordering Initial Distribution, permitting the Plan Administrator to amend the Plan of Disgorgement Distribution (i) to permit a partial distribution of the disgorgement fund to claimants who had submitted or resubmitted claim forms since the relocation of the Commission's Northeast Regional Office following the events of September 11, 2001, (ii) to post a notice on the Commission's website indicating that all potential claimants who have not submitted or resubmitted claim forms since September 11, 2001 would have an opportunity to submit (or resubmit) a claim against the Disgorgement Fund for a period of time after the partial distribution, and (iii) to permit a second calculation of the pro rata share of each claimant who submits a valid Proof of Claim, in the event that a substantial portion of the Disgorgement Fund would otherwise go to the U.S. Treasury; and

On August 23, 2002, a notice was placed on the Commission website, and remained there for more than six months, indicating that all potential claimants who had not submitted or resubmitted claim forms since September 11, 2001 had until February 24, 2003 to submit a claim against the Disgorgement Fund;

Claims for approximately forty-one percent (41%) of the Disgorgement Fund had been submitted to the Fund Administrator by February 24, 2003;

On June 24, 2003, the Commission issued an Order of Final Distribution (Release No. 33-8243) that erroneously failed to include several valid claims on the Disgorgement Fund; and

The Plan Administrator, pursuant to the Amended Plan of Disgorgement Distribution, has recalculated a secondary distribution for all claimants. Therefore,

IT IS ORDERED that, pursuant to the Amended Plan of Disgorgement Distribution, the Comptroller of the Commission distribute the disgorgement to the Claimants, and in the amounts, set forth on Exhibit A attached hereto; and

IT IS FURTHER ORDERED that the Disgorgement Fund established in this proceeding be closed.
