                         ORDER OF DISMISSAL

     This proceeding arises under §502(c)(2) of the Employee
Retirement Income Security Act of 1974, as amended, (ERISA), and
its implementing regulations at 29 C.F.R. Parts 2520 and 2570.  

     On March 20, 1995, the Counsel for the Department of Labor
filed a Request for Dismissal on the grounds that the Department of
Labor has waived the entire penalty.  Notice of waiver of the
penalty was issued on November 28, 1994 (copy attached).  Counsel
for the Respondent having no objection,    

     IT IS ORDERED that the above-entitled matter is hereby
DISMISSED.
