                         DECISION AND ORDER
            APPROVING STIPULATION AND ORDER OF DISMISSAL

    This proceeding arises under §502(c)(2) of the Employee
Retirement Income Security Act of 1974, as amended, (ERISA), and
its implementing regulations at 29 C.F.R. Parts 2520 and 2570.  

    On May 27, 1994, the parties submitted for approval by the
undersigned a fully executed Stipulation for Dismissal and Order,
attached hereto and made a part hereof.  Having duly considered the
matter, 

    IT IS ORDERED that the Stipulation for Dismissal is hereby
approved and the proceeding in this matter is DISMISSED, with
prejudice.

    IT IS FURTHER ORDERED:

    1.  That this order shall have the same force and effect as an
order made after a full hearing;

    2.  That the entire record in which this order is based shall
consist solely of the Notice of Penalty Assessment and this
Stipulation;

    3.  That the parties have waived any further procedural steps 

[PAGE 2] before the undersigned; 4. That the parties have waived any right to challenge or contest the validity of this order and decision entered in accordance with their agreement of dismissal; 5. That this decision and order shall be the final agency action in this matter; and 6. That the parties have agreed that no costs or fees shall be assessed against either party. DANIEL J.
