SEC NEWS DIGEST Issue 2006-44 March 7, 2006 COMMISSION ANNOUNCEMENTS RANDALL FONS, HEAD OF THE SEC'S CENTRAL REGIONAL OFFICE, TO LEAVE THE COMMISSION Randall J. Fons, Regional Director of the Securities and Exchange Commission's Central Regional Office, has announced that he will leave the Commission in late March to become a partner in the Denver office of the law firm of Morrison & Foerster. Mr. Fons, 43, became the Regional Director of the Central Regional Office in August 2000. In this position he has been responsible for managing the enforcement and examination programs in Colorado, North Dakota, South Dakota, Utah, Wyoming and New Mexico. Previously, Mr. Fons served as the Regional Director of the SEC's Southeast Regional Office, in Miami, from 1997 to 2000. Under his leadership, the staff of the Central Regional Office brought a number of high profile enforcement actions including the Commission's financial fraud case against Qwest Communications, Intl., market timing and late-trading cases against Janus and Invesco, market manipulation cases, and cases against broker-dealers and investment advisers. In Miami, Mr. Fons oversaw actions including the City of Miami municipal fraud case, the W.R. Grace financial fraud case, the PriceWaterhouseCoopers auditor independence case and the Wheat, First Securities, Inc. case. In both regional offices, he also maintained an effective examination program that both detected compliance deficiencies and led to their correction. "For the past eighteen years, Randy has served the Commission and investors with total commitment, great enthusiasm and uncompromising principles," SEC Chairman Christopher Cox said. "Our markets, and most importantly, America's investors, are better off because of his fine work. He graduated from the University of Wisconsin in 1984 with a Bachelor of Business Administration - Accounting degree. He graduated in 1987 from the University of Colorado School of Law. After graduation, Fons was a law clerk to the Presiding Judge at the Wisconsin State Court of Appeals. In 1999, SEC Chairman Arthur Levitt presented Randy the Distinguished Service Award, the Commission's highest honor, and the Capital Markets Award. (Press Rel. 2006-33) ENFORCEMENT PROCEEDINGS COMMISSION FILES FRAUD INJUNCTION ACTION AGAINST IDPM GROUP, INC., CRAIG REINHARD AND DEBRA BZIK STOPPING PONZI SCHEME The Commission announced that on March 6 it obtained a preliminary injunction halting an ongoing Ponzi scheme being conducted by Craig H. Reinhard and Debra R. Bzik, both residents of Allentown, Pennsylvania, through their jointly held company, IDPM Group, Inc. (IDPM). The Commission's complaint, filed in U.S. District Court in the Eastern District of Pennsylvania, alleges that, from at least August 1994 through the present, the defendants have raised more than $3.9 million from at least 50 investors in several states by claiming to sell certificates of deposit (CDs) that did not exist. Reinhard, the primary salesman, lured investors, many of whom are elderly, with promises of above market rates on FDIC insured CDs purportedly issued by an entity called the "Liberty Certificate of Deposit Trust Fund." Reinhard and Bzik also distributed fictitious investment documents and account statements to attract investors and to ensure they continued to invest in the scheme. The complaint further alleges that, rather than purchase CDs, Reinhard and Bzik used all of the proceeds from new investors to make payments to earlier investors, and to pay their own personal expenses as well the operating expenses of IDPM. The complaint charges IDPM, Reinhard and Bzik with violating Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder. Without admitting or denying the allegations of the complaint, the proposed defendants consented to the entry of an order preliminarily enjoining them from engaging in the violations set forth above, partially freezing their assets, granting expedited discovery, prohibiting the alteration or destruction of documents, and requiring an accounting from the defendants. In addition to the emergency relief obtained, the Commission's complaint seeks from each defendant permanent injunctions, disgorgement with prejudgment interest, and a civil penalty. [SEC v. Craig H. Bzik, and The IDPM Group, Inc., Civil Action No. 06-997-CMR (E.D.Pa.)] (LR-19591) COURT ENTERS ORDER PERMANENTLY ENJOINING DEFENDANTS, FREEZING ASSETS, AND APPOINTING PERMANENT RECEIVER IN 12DAILY PRO "AUTOSURF" INTERNET PONZI SCHEME On March 1, the Honorable Nora M. Manella, U.S. District Judge for the Central District of California, entered an order permanently enjoining the operators of the www.12dailypro.com website, defendants Charis Johnson (Johnson), LifeClicks, LLC (LifeClicks), and 12daily Pro, from violating the antifraud and securities registration provisions of the federal securities laws. In addition to the permanent injunctions, the order freezes the defendants' assets, appoints a permanent receiver over LifeClicks and 12daily Pro, prohibits the destruction of documents by the defendants, and requires accountings from the defendants. The defendants consented to the entry of the order without admitting or denying the allegations in the complaint. The Court appointed Thomas F. Lennon, Inc. as the permanent receiver over the assets of LifeClicks and 12daily Pro. The receiver is in the process of creating a website devoted to providing investors with information relating to the receivership; the website address is: www.tlennonfor12dailypro.com. The Commission filed its action against the defendants on Feb. 21, 2006, alleging that their purported "paid autosurf program" was in fact a massive Ponzi scheme that had raised more than $50 million from over 300,000 investors worldwide by offering a 44% return on investment in just 12 days. To receive the promised payment, a member purportedly was required to view at least 12 web pages per day during the 12 day period. The Commission alleged that the defendants defrauded investors by operating 12daily Pro as almost a pure Ponzi scheme -- using new investor monies to pay the promised returns to existing investors -- in violation of the federal securities laws. In fact, at least 95% of 12daily Pro's revenues came from new investments in the form of membership fees from new or existing members. The complaint alleges that the defendants violated the antifraud provisions of Section 17(a) of the Securities Act of 1933 (Securities Act) and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and the securities registration provisions of Sections 5(a) and 5(c) of the Securities Act. The Commission's complaint also seeks repayment of ill-gotten gains and civil money penalties; the amounts to be sought will be determined at a later date. [SEC v. Cal.)] (LR-19592) ATTORNEY JOHN ZANKOWSKI AND STOCK PROMOTER STANLEY SICILIANO ARE ORDERED TO PAY MORE THAN $600,000 EACH IN DISGORGEMENT AND PENALTIES AND ARE BARRED FROM PARTICIPATING IN OFFERINGS OF PENNY STOCK FOR VIOLATIONS OF THE ANTIFRAUD, REGISTRATION, AND AS TO SICILIANO, THE ANTI-TOUTING PROVISIONS OF THE FEDERAL SECURITIES LAWS In June 2005, the U.S. District Court for the Middle District of Florida found John B. Zankowski, an attorney based in Atlanta, Georgia, and Stanley J. Siciliano, a stock promoter based in Buffalo, New York, in default and entered an Interlocutory Judgment permanently enjoining each from future violations of the registration, anti-fraud and, in the case of Siciliano, anti-touting provisions of the Federal securities laws. These provisions, respectively, are Section 5(a) and (c) of the Securities Act of 1933 (Securities Act), Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder, and Section 17(b) of the Securities Act. On Feb. 23, 2006, upon motion by the Commission, the Court issued an Amended Final Judgment ordering Zankowski to pay $630,950.21, representing profits of $184,848.50 gained as a result of his violations, prejudgment interest in the amount of $46,101.71, and a civil penalty of $400,000. The Court's Final Judgment also ordered Siciliano to pay $628,736.77, representing profits of $178,458.05 gained as a result of his violations, prejudgment interest in the amount of $50,278.72, and a civil penalty of $400,000. The Commission's complaint, filed on Nov. 15, 2004, alleges Zankowski and Siciliano, along with their co-defendants, engaged in a months- long, multi-faceted pump-and-dump scheme involving the securities of St. Petersburg-based Nutraceutical Clinical Laboratories International, Inc. (Nutraceutical or the Company) in violation of antifraud, registration, and, in the case of Siciliano, the anti- touting provisions of the Federal securities laws. Zankowski was acting in his capacity as an attorney when he helped defraud the Company's transfer agent in order to convert millions of restricted Nutraceutical shares into purportedly non-restricted shares as part of an unregistered stock distribution in violation of the registration provisions of the Federal securities laws. His deception of the transfer agent through false and misleading legal opinion letters was an essential first step in the overall pump-and-dump scheme. He then dumped a hundred thousand of his own purportedly non-restricted shares in dozens of separate transactions knowing his conduct contravened these registration provisions and knowing that the Company's CEO, co- defendant Paul Simmons, and those he hired were pumping up the stock price. As for Siciliano, the complaint alleges that he worked with fellow promoter and defendant Kerry Kennedy and CEO Simmons to knowingly spread false information about the Company through multiple Internet postings on multiple days that were timed with Company fraudulent press releases. Further, through multiple wash and matched trades, he helped Kennedy raise and/or prop up Nutraceutical's stock price and deceive investors that there was a legitimate demand for Nutraceutical stock. Not only did Siciliano fail to disclose that Nutraceutical had paid him for such promotional efforts, he also dumped more than one hundred thousand shares, most purportedly non-restricted, in dozens of transactions into the market he helped to manipulate. Paul Simmons, Rodney Gilbert, John Zankowski, Esq., Kerry Kennedy, Stanley Siciliano and Eric Littman, Esq., 8:04-CV-2477-T-17MAP (USDC, MDFla.)] (LR-19593) SEC OBTAINS FINAL JUDGMENT AGAINST ERIC BARTOLI AND CONCLUDES LITIGATION IN $80 MILLION OFFERING FRAUD CASE The Commission announced that on Jan. 20, 2006, the Honorable Ursula Ungaro-Benages of the U.S. District Court for the Southern District of Florida entered a Final Judgment Setting Disgorgement, Prejudgment Interest and a Civil Penalty as to Eric V. Bartoli (Final Judgment). Bartoli was one four principals of Cyprus Funds, Inc. (Cyprus Funds), formerly an unregistered investment company incorporated in Belize, and its investment adviser, Latin American Services Co., Ltd. (Lasco). The Final Judgment orders Bartoli to pay disgorgement and prejudgment interest in the amounts of $19,700,000 and $29,244,388, respectively, and further orders him to pay a civil penalty in the amount of $110,000. The SEC's complaint in this matter alleged that from at least 1993 through Aug. 27, 1999, the date the SEC's emergency action was filed, Bartoli and the other principals of Cyprus Funds, James L. Binge, Douglas R. Shisler, and Peter J. Esposito, raised over $80 million from investors in the United States and Latin America through the fraudulent sale of mutual fund shares and "certificates of deposit" issued by Cyprus Funds. Contrary to representations that Cyprus Funds invested in "blue chip" stocks and bonds, in reality, Bartoli, Binge, Shisler and Esposito misappropriated millions of dollars from Cyprus Fund, diverted monies to their other businesses and, in a Ponzi-scheme fashion, to pay interest to Cyprus Funds investors. In 2000, the District Court entered judgments of permanent injunction against the individual defendants, Cyprus Funds and Lasco, enjoining them from further violations of the antifraud and registration provisions of the federal securities laws, holding them jointly and severally liable to pay disgorgement, and ordering them to pay civil penalties, in amounts to be determined upon the SEC's motion. In addition, on Dec. 14, 2005, the SEC filed a Notice of Voluntary Dismissal With Prejudice of its claims for disgorgement and civil penalties against Binge, who is deceased, and Shisler and Esposito, who were both criminally convicted on charges arising from the same facts as those alleged in the SEC's complaint, were incarcerated and have been ordered to pay restitution of $8.7 million and $6 million, respectively. The SEC also dismissed its monetary claims against the corporate Defendants, Cyprus Funds and Lasco, and the Relief Defendants, which are defunct entities under the control of the court appointed receiver for those entities, Michael I. Goldberg (Receiver). Since the commencement of this case, the Receiver has made three distributions to investors totaling approximately $9.6 million. Fla.] (LR-19595) SEC OBTAINS ORDER OF DISGORGEMENT AND CIVIL PENALTIES AGAINST DONALD HAMMOND, FOLLOWING REMAND The Commission announced today that the Honorable F.A. Little, U.S. District Judge for the Western District of Louisiana, entered an order on March 1, 2006, following remand from the U.S. Court of Appeals for the Fifth Circuit, arising from an appeal taken by Donald Hammond from a post-judgment contempt proceeding brought against him by the Commission. Judge Little's recent order granted the Commission's motion for summary judgment against Hammond, and reset disgorgement and prejudgment interest against him at $577,720 and $213,730.87, respectively. The disgorgement and prejudgment interest order arose from Hammond's violations of Sections 5 and 17(a) of the Securities Act of 1933 and Sections 15(a) and 10(b) of the Securities Exchange Act of 1934, and Rule 10b-5 thereunder. Hammond had previously been permanently enjoined from further violations of the securities laws, and had previously been ordered to pay a civil penalty in the amount of $100,000. Neither the injunction, nor the civil penalty, was at issue in the remand of Hammond's case from the circuit court. The Commission's complaint alleged, and the Court found that, Hammond committed violations of the antifraud provisions of the securities laws between mid-1993 and mid-1994. Hammond, a minister, misrepresented and omitted material facts when he sold securities interests in Sunbelt Development Corporation to members of his church, and to members of another church of the same denomination, as well as to friends and relatives of the church members. Hammond and his co- defendants promised exorbitant returns on investments along with the return of the investors' principal when, in fact, Sunbelt was actually operating a Ponzi scheme. The judgments previously entered against Hammond's co-defendants were not at issue on Hammond's appeal arising from the post judgment contempt against him. More than $3.5 million worth of unregistered securities were issued to over 200 individuals in at least 16 states during the scheme. [SEC v.
