SEC NEWS DIGEST Issue 2002-134 July 12, 2002 ENFORCEMENT PROCEEDINGS SCHWENDIMAN PARTNERS, LLC CHARGED WITH BREACHING FIDUCIARY DUTIES TO CLIENTS On July 11, the Commission sanctioned Schwendiman Partners, LLC, a Lincoln, Nebraska investment adviser firm, and its principals, Gary Schwendiman and Todd G. Schwendiman, based on the Commission's finding of three separate breaches of fiduciary duty demonstrating a pattern of Schwendiman Partners, LLC putting its own interest before the interests of advisory clients. Specifically, the Commission found that through Todd Schwendiman, Schwendiman Partners, LLC took a limited investment opportunity for itself, rather than giving the opportunity to a fund it advised, resulting in Schwendiman Partners, LLC receiving approximately $21,000 of ill-gotten gains; through Todd Schwendiman, Schwendiman Partners, LLC gave preferential treatment to certain clients invested in a fund that was being liquidated by allowing only those clients to prematurely transfer their holdings to a different fund because they had agreed to continue investing with Schwendiman Partners, LLC; and through Gary Schwendiman, Schwendiman Partners, LLC distributed investor capital following the liquidation of a fund in a manner that caused Gary Schwendiman to personally receive approximately $60,000 which should have been distributed to all of the fund's investors. The Commission censured Schwendiman Partners, LLC, Gary Schwendiman, and Todd Schwendiman and ordered them to pay civil money penalties totaling $75,000. Additionally, they had agreed previously to disgorge their ill- gotten gains of $81,685, plus prejudgment interest. The Commission also ordered Schwendiman Partners, LLC to engage an independent consultant to review Schwendiman Partners, LLC's policies and procedures to ensure that they are adequate, especially those relating to trading by Schwendiman Partners, LLC and persons affiliated with or employed by it, and those relating to disclosures to clients of potential conflicts of interest. The Commission further ordered that Schwendiman Partners, LLC provide a copy of the Commission's Order to any prospective client for a period of one year after its issuance. Schwendiman Partners, LLC, Gary Schwendiman, and Todd Schwendiman consented to the entry of the Order without admitting or denying its findings. (Rels. 33-8111; 34-46184; IA- 2043; File No. 3-10829) JUDGE ENTERS FINAL JUDGMENTS AGAINST ALL REMAINING DEFENDANTS AND RELIEF DEFENDANTS IN $20 MILLION PRIME BANK SCHEME The Commission announced today that on June 28, 2002, Judge Nancy Gertner of the United States District Court for the District of Massachusetts entered final judgments against all remaining defendants and relief defendants in SEC v. Koontz, et al., the Commission's civil enforcement action against various individuals and entities involved in a $20 million fictitious prime bank offering fraud. Specifically, Judge Gertner granted the Commission's motions for summary judgment against Defendant Terry V. Koontz, the architect of the fraud, and his company Zone Productions, Inc. (Zone) and against Relief Defendants Marilyn Koontz, Dorothy Gerodemos, Helen Smith, and Anastasia Brooks. Judge Gertner also granted the Commission's motion for entry of final judgments by default against Defendant Kurt Fox and Relief Defendants Emanon II, Inc., Stewart A. Koral, and Nancy Chamich. The judgment against Terry Koontz permanently enjoins him from committing violations of Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule l0b-5 thereunder and orders him to pay disgorgement, jointly and severally with Zone, of $20,000,000 plus prejudgment interest of $6,850,585.53, for a total of $26,850,585.53. The judgment against Fox permanently enjoins him from committing violations of the same provisions as well as Section 15(a) of the Exchange Act and orders him to pay disgorgement and prejudgment interest totaling $108,442.81. The judgments against the Relief Defendants, who all received ill-gotten gains from Terry Koontz, order them to pay disgorgement and prejudgment interest as follows: Marilyn Koontz -$1,226,116; Gerodemos -- $4,229,873; Smith -- $724,865; Brooks -- $1,178,553; Emanon II -- $2,550,805.61; Koral -- $976,018.78; and Chamich -- $1,364,216.49. On September 17, 1998, the Commission filed an emergency action against Terry Koontz and others in the U.S. District Court for the District of Massachusetts alleging that Koontz orchestrated a scheme in which he and others induced more than 80 individuals in 16 states to invest over $20 million in a fictitious "international bank debenture trading" program called Private Pool, LLC. In addition to the Commission's action, the U.S. Attorney's Office for the Middle District of Florida (Tampa) brought criminal charges against Terry Koontz (charging him with conspiracy, securities fraud, and wire fraud) and four other individuals involved in this scheme. An order has been issued on an application filed by One Group Mutual Funds, et al. under Sections 6(c), 12(d)(1)(J), 17(b), and 17(d) of the Investment Company Act and Rule 17d-1 under the Act. The order permits certain registered open-end management investment companies to participate in a joint lending and borrowing facility. (Rel. IC-25654 - July 10) THE PHOENIX EDGE SERIES FUND, ET AL. A notice has been issued giving interested persons until August 5, 2002, to request a hearing on an application filed by The Phoenix Edge Series Fund and Phoenix Variable Advisors, Inc. for an order granting an exemption from Section 15(a) of the Investment Company Act and Rule 18f- 2 under the Act. The order would permit applicants to enter into and materially amend subadvisory agreements without shareholder approval.
