SEC NEWS DIGEST Issue 2002-69 April 10, 2002 ENFORCEMENT PROCEEDINGS IN THE MATTER OF RAJIV VOHRA Chief Administrative Law Judge Brenda P. Murray has found Rajiv Vohra in default for failing to answer within the allotted time the allegations in the Order Instituting Proceedings issued on September 28, 2001. Judge Murray relied on Rules 155(a) and 220(f) of the Commission's Rules of Practice to find that on April 5, 2001, the United States District Court for the Southern District of Florida permanently enjoined Mr. Vohra from violating Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act), and Exchange Act Rule 10b-5. The Commission's complaint in that civil action, SEC v. Vohra, No. 00-7286-Civ-Seitz (S.D. Fla. 2000), alleged that Mr. Vohra violated the securities laws in connection with an offering of the common stock of New Directions Manufacturing, Inc. (New Directions), a penny stock, by publishing false and misleading information in a research report over the Internet, and manipulating the price of New Directions stock through "wash sales." Judge Murray ordered Mr. Vohra barred from participating in a penny stock offering, pursuant to Section 15(b)(6) of the Exchange Act. (Rel. 34-45697; File No. 3-10596) COMMISSION IMPOSES CEASE-AND-DESIST ORDERS AND REMEDIAL SANCTIONS AGAINST HARVEY BURSTEIN AND JAMES LOEFFELBEIN On April 9, the Commission entered orders (Orders) against Harvey M. Burstein, a resident of Henderson, Nevada, and James D. Loeffelbein, a resident of Bucyrus, Kansas, barring each of them from association with any broker or dealer for four years, ordering them to disgorge ill- gotten gains, and imposing penalties. The Orders find that Burstein and Loeffelbein, while employed as registered representatives at BMA Financial Services, Inc., a registered broker-dealer in Kansas City, Missouri, purchased the stock of Edgerton Musical Amplifiers, Inc. (Edgerton) directly from the company at a significant discount from the market price. The shares were purchased pursuant to Rule 504 of Regulation D, an exemption from the registration requirements of the securities laws. According to the Orders, Burstein and Loeffelbein then began selling their shares in market transactions, while recommending that their customers purchase Edgerton stock in the market at the higher prices. The Commission found that, while they were recommending Edgerton stock to their customers, neither Burstein nor Loeffelbein disclosed that they were simultaneously selling their own stock, or that their customers could possibly pay a lower price for the stock by buying it directly from Edgerton. The Commission found that Burstein and Loeffelbein willfully violated Sections 5(a) and 5(c) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5, former Rule 10b- 6, and Rule 101 of Regulation M thereunder. It ordered that Burstein and Loeffelbein cease and desist from committing or causing any violation or future violation of these provisions (except for Rule 10b- 6, which has been rescinded), and barred them from associating with any broker or dealer with the right to reapply for association after four years. It further ordered Burstein and Loeffelbein to pay disgorgement of $74,324 and $101,544, and prejudgment interest of $35,230 and $48,617, respectively, and to pay civil penalties of $10,000 each. The Orders provide that the disgorgement and prejudgment interest will be distributed pursuant to a plan to be submitted by the Division of Enforcement. Burstein and Loeffelbein consented to the Orders without admitting or denying the Commission's findings.
