ENFORCEMENT PROCEEDINGS COMMISSION FILED SETTLED ADMINISTRATIVE PROCEEDING AGAINST THOMAS KEARNS On April 1, the Commission filed a settled administrative proceeding against Thomas J. Kearns of Dallas, Texas, pursuant to Sections 203(f) of the Investment Advisers Act of 1940. Simultaneously with the institution of this proceeding, Kearns submitted an Offer of Settlement in which, while neither admitting nor denying the Commission's findings, Kearns consented to the entry of an order barring him from association with an investment adviser. The Order was based on the entry of a permanent injunction in a related civil action against Kearns and on Kearns' conviction of investment advisor fraud and mail fraud in a related criminal proceeding. The Commission's complaint in the civil action alleged that Kearns had operated a fraudulent scheme where he acted as an investment advisor and entered into contracts that permitted him to manage and invest his clients' funds. The complaint alleged that Kearns induced his clients to liquidate existing investments, including annuities with insurance companies, and to place their funds with him to invest in securities. The complaint also alleged that Kearns falsely represented to clients that their funds would be safe investments that would provide a return of at least 9% to 10% annually. In fact, Kearns was not registered as an investment adviser either with the Securities and Exchange Commission or with the State of Texas, and he did not invest clients' funds as represented. Earlier Kearns entered a guilty plea to an information that charged him with one count of fraud in violation of Section 206(1) and (2) of the Investment Advisers Act and one count of mail fraud in violation of 18 U.S.C. 1341. On June 20, 2001, Kearns was sentenced to a period of incarceration of 90 months, together with a three-year period of supervised release, and is to make restitution in the sum of $2,693,146. (Rel. IA-2026; File No. 3-10746) SELF-REGULATORY ORGANIZATIONS PROPOSED RULE CHANGE The Municipal Securities Rulemaking Board filed a proposed rule change (SR-MSRB-2002-04) relating to Rule G-14, on reports of sales or purchases. Publication of the proposal is expected in the Federal Register during the week of April 1.
