SEC NEWS DIGEST Issue 2007-130 July 9, 2007 COMMISSION ANNOUNCEMENTS SEC ANNOUNCES $316 MILLION FAIR FUND DISTRIBUTION TO INVESTORS HARMED BY FRAUD AT TIME WARNER Distribution Marks the Commission's Distribution of More Than $2 Billion of Fair Fund Monies to Injured Investors The Securities and Exchange Commission today announced that it commenced the distribution of the Fair Fund created as part of a settlement with Time Warner Inc. on charges of improper financial reporting and disclosure. The distribution is expected to be completed in approximately ten days. "With this distribution, the Commission will have distributed over $2 billion in Fair Fund monies since the 2002 passage of the Sarbanes- Oxley Act, demonstrating our continued resolve to return money to injured investors where appropriate," said Linda Chatman Thomsen, Director of the SEC's Division of Enforcement. The Commission brought a settled action against Time Warner in March 2005 alleging that Time Warner engaged in fraud and other accounting improprieties by artificially inflating its advertising revenue and Internet subscriber numbers, and by failing to properly consolidate the financial results of one of its subsidiaries, AOL Europe, S.A. Time Warner paid a $300 million civil penalty as part of the resolution of these claims. Including interest, the Fair Fund available for distribution is approximately $316 million. On July 11, 2006, the United States District Court for the District of Columbia approved the Commission's proposed distribution plan. The distribution of the Fair Fund, which is being made on the same timetable as the class action distribution in a pending case against Time Warner and other defendants, is in addition to the class action settlement. FELLUS On July 6, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities and Exchange Act of 1934 And Notice of Hearing (Order) against Warren R. Fellus. The Order alleges that from February 2002 through May 2003, Warren R. Fellus (Fellus) was a proprietary trader at A.B. Watley, Inc., a day trading firm that was registered with the Commission as a broker- dealer. From May 2003 through December 2003, Fellus was the head of the proprietary trading desk at Millennium Brokerage, LLC, a broker- dealer registered with the Commission. From Dec. 1, 2003 through Dec. 31, 2003, Fellus was a proprietary trader at E*Trade Professional Trading, LLC, a broker-dealer registered with the Commission. For a portion of the time in which he engaged in the conduct underlying the information described below, Respondent had a Series 7 license and was associated with registered broker-dealers. The Order further alleges that on July 8, 2005, Fellus pleaded guilty to one count of conspiracy to commit securities fraud, a felony, in a sealed proceeding in the U.S. District Court in the Eastern District of New York. U.S. v. Fellus, No. 05-CR426 (ILG) (E.D.N.Y. July 8, 2005). The count of the criminal information in the case in which Fellus pleaded guilty alleged, inter alia, that while associated with a broker-dealer, Fellus participated in a scheme to use confidential material information improperly obtained from broker-dealers' "squawk boxes" to trade ahead of the broker-dealers' institutional orders. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide Fellus an opportunity to respond to these allegations, and to determine what sanctions, if any, are appropriate and in the public interest. As directed by the Commission, an administrative law judge shall issue an initial decision in this matter no later than 210 days from the date of service of the Order Instituting Proceedings. (Rel. 34-56022; File No. 3-12679) IN THE MATTER OF LAWRENCE CAMPBELL An Administrative Law Judge has issued an Order Making Findings and Imposing Sanctions by Default as to Donald J. Lakin (Default Order) in the matter of Lawrence A. Campbell. The Default Order finds the allegations in the Order Instituting Proceedings to be true that Respondent Donald J. Lakin (Lakin), in using high-pressure sales tactics, made material misrepresentations to investors in Sunrise Energy, Inc. (Sunrise), securities regarding the rates of return that investors would receive. Among other things, Lakin misrepresented to investors that they could expect to receive returns ranging from 55% to 106% per year. In reality, however, Sunrise investors never saw the promised returns and most lost more than 95% of the principal they had invested. Moreover, Lakin continued to make misrepresentations regarding the low-risk, high-return nature of the Sunrise investments even after he had learned that investors were receiving only a small fraction of the returns that he had represented that they could expect. The Default Order finds that Lakin willfully violated Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933 and Sections 15(a) and 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5, thereunder, and orders Lakin to: (1) cease and desist from committing and causing violations and future violations of the above antifraud provisions; (2) disgorge $374,000 in ill-gotten gains, plus prejudgment interest; and (3) pay a $50,000 civil monetary penalty. Sillerman, has agreed to settle the insider trading charges pending against him. Without admitting or denying the allegations in the Commission's complaint, Lefford consented to the entry of a final judgment enjoining him from violating Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. Lefford further consented to disgorge his trading profits of $31,450, plus prejudgment interest of $3,280, and pay a penalty of $31,450. According to the Commission's complaint filed on Sept. 26, 2006, in the United States District Court for the Southern District of New York, Lefford engaged in unlawful insider trading while employed as the house manager for Sillerman's South Hampton, New York residence. The Commission's complaint alleges as follows: In the summer of 2004, Sillerman, an entertainment industry entrepreneur, was in the process of negotiating the acquisition of a controlling interest in a publicly-traded company named Sports Entertainment Enterprises, Inc. (SPEA) to use as the vehicle for acquiring the commercial rights to Elvis Presley's name and likeness. Lefford learned material non-public information about Sillerman's intended acquisition of SPEA from one or more documents faxed between Sillerman's office in Manhattan and his South Hampton residence. On Aug. 12, 2004, Lefford used that information to purchase 5,000 shares of SPEA stock at 12 cents per share. Sillerman's acquisition of SPEA and SPEA's concurrent acquisition of the commercial rights to Elvis Presley name and likeness were jointly announced on the morning of Dec. 16, 2004, and SPEA stock closed at $6.41 that day, an increase of over 6,400% from the prior day. Lefford, 06-CIV-7716 (DAB) (SDNY)] (LR-20184) FINAL JUDGMENT ENTERED FOLLOWING JURY VERDICT IN FIRST CASE TO BE TRIED INVOLVING FINITE INSURANCE ABUSE The Commission announced that on July 6, following a jury verdict, the U.S. District Court for the Southern District of New York entered a Final Judgment against Timothy Harcharik (Harcharik), former director of risk management for Brightpoint, Inc. (Brightpoint) enjoining Harcharik for a period of five years from future violations of the antifraud, books-and-records, and internal controls provisions of the federal securities laws and ordering him to pay $50,000 in civil penalties. This final judgment follows a jury verdict on May 25, 2007, in favor of the Commission, rendered after a four-day trial before the Honorable Harold Baer, Jr., United States District Judge for the Southern District of New York. Harcharik played a key role in a fraudulent scheme involving a purported insurance policy that enabled Brightpoint to conceal $11.9 million in losses that it sustained in 1998. This was the first case to go to trial involving the fraudulent use of finite insurance. The final judgment entered against Harcharik concludes the Commission's litigation in this matter. Previously, all of the defendants except Harcharik had agreed to settle the Commission's charges to 12 months probation, including eight months of home detention. (HB)] (LR-20185; AAE Rel. 2632) COURT ENTERS TEMPORARY RESTRAINING ORDER FREEZING DEFENDANTS' ASSETS AND ORDERING DEFENDANTS TO PROVIDE SWORN ACCOUNTINGS, AND SCHEDULES PRELIMINARY INJUNCTION HEARING The Commission announced that on July 5 the U.S. District Court for the Western District of New York entered a temporary restraining Order against defendants The Hockey Barn LLC and Jeffrey J. Coleman, Hockey Barn's Chief Executive Officer. The Court's order, among other things, temporarily restrains defendants from violating Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. Further, the order temporarily freezes defendants' assets and orders them to provide sworn accountings. In addition, the order prohibits the destruction of records, and permits the Commission to conduct expedited discovery. The Court scheduled a hearing on the Commission's request for a preliminary injunction for July 19, 2007 in Buffalo, New York. In the complaint, the Commission alleged that from approximately October 2006 through the present, Coleman and the Hockey Barn defrauded investors through an offering of promissory notes and other investment contracts. Among other things, Coleman falsely told investors that they could obtain a return of at least 400% within 60 days from an investment in a purported bond trading program. Action No. 07-CV-438-C (W.D.N.Y.)] (LR-20186) SEC CHARGES TWO TEXAS INDIVIDUALS IN A PENNY STOCK SPAM CAMPAIGN INVOLVING COMPUTER BOTNETS The Commission filed securities fraud charges against two Texas individuals for engaging in a high tech spam campaign that involved personal computers nationwide to disseminate millions of spam emails that yielded over $4.6 million for the defendants. The scheme involved the use of so-called computer "botnets" or "proxy bot networks," which are networks comprised of personal computers that, unbeknownst to their owners, are infected with malicious viruses that forward spam or viruses to other computers on the Internet. The Commission alleges that Darrel Uselton and his uncle, Jack Uselton, both recidivist securities law violators, illegally made more than $4.6 million during a 20-month "scalping" scheme by obtaining shares from at least 13 penny stock companies and selling those shares into an artificially active market they created through manipulative trading, spam email campaigns, direct mailers, and Internet-based promotional activities. Scalping refers to recommending that others purchase a security while secretly selling the same security in the market. The Commission's complaint, filed in U.S. District Court in Houston, alleges that the Useltons violated the antifraud provisions of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Commission seeks permanent injunctions, disgorgement with prejudgment interest, and civil penalties against each of the individual defendants, as well as a penny stock bar against the Useltons. In related enforcement actions, the Attorney General's Office for Texas and the Harris County District Attorney's Office indicted the Useltons for engaging in organized criminal activity and money laundering. The Texas criminal authorities have also seized more than $4.2 million from bank accounts associated with the Useltons.
