SEC NEWS DIGEST Issue 2007-121 June 25, 2007 COMMISSION ANNOUNCEMENTS SEC ADDS SOFTWARE TOOL FOR INVESTORS SEEKING INFORMATION ON COMPANIES' ACTIVITIES IN COUNTRIES KNOWN TO SPONSOR TERRORISM In the latest of a series of steps to use the Internet and interactive computer technology to make public company disclosures more accessible to investors, Securities and Exchange Commission Chairman Christopher Cox today announced that the SEC has added to its Web site a software tool that permits investors to obtain information directly from company disclosure documents about their business interests in countries the U.S. Secretary of State has designated "State Sponsors of Terrorism." The information comes from the companies' most recent annual reports as filed with the SEC. Chairman Cox said, "No investor should ever have to wonder whether his or her investments or retirement savings are indirectly subsidizing a terrorist haven or genocidal state. The law already requires companies to report on any material activities in a country the Secretary of State has formally designated a State Sponsor of Terrorism. Our role is to make that information readily accessible to the investing public. Making it easier to find significant information such as this by tapping the power of technology is central to the SEC's mission." Five countries are currently on the U.S. State Department list: Cuba, Iran, North Korea, Sudan, and Syria. (In addition to its support for terrorism, the Sudanese government has also been widely recognized as complicit in genocidal activities in Sudan's Darfur region.) The new software tool can be accessed on the Investor Information section of the SEC's home page. Clicking the tab for "State Sponsors of Terrorism" will bring up a menu of each of the countries on the State Sponsors of Terrorism list. Clicking on any of those countries will bring up a menu of the companies whose 2006 annual reports disclose business activities in that country. Clicking on the name of a company will, in turn, bring up the pertinent portions of that company's annual report. All of the disclosures are linked directly to the full text of the company's annual report to insure proper context. The existence of a disclosure by a company concerning activities in one of the listed countries does not, in itself, mean that the company directly or indirectly supports terrorism or is otherwise engaged in any improper activity. The information will be continuously updated to reflect SEC filings as they are received, as well as any changes to the Department of State's list. In addition to this initiative, the SEC is complying with a provision in the recently enacted supplemental Appropriations Act requiring that the agency coordinate with the Department of the Treasury on the preparation of a report containing the names of companies which either directly, or through a parent or subsidiary, conduct significant business in Sudan relating to natural resource extraction (P.L. 110- 28, The U.S. Troop Readiness, Veterans' Care, Katrina Recovery, and Iraq Accountability Appropriations Act, 2007). (Press Rel. 2007-121) ENFORCEMENT PROCEEDINGS COMMISSION REMANDS PROCEEDING TO NYSE FOR FURTHER DEVELOPMENT OF THE RECORD ON APPLICANT'S STATE ACTION CLAIM The Commission has remanded to the NYSE a proceeding against Warren E. Turk, a former NYSE member and former specialist associated with an NYSE member firm. The NYSE censured and permanently barred Turk based on his failure to testify in connection with its investigation of improper trading practices by NYSE specialists. Turk claims that the NYSE could not force him to testify because, at the time the NYSE requested his testimony, Turk was the subject of a criminal investigation and could therefore invoke the Fifth Amendment's right against self-incrimination. Turk argues that the right against self- incrimination applied to the NYSE because, under the particular facts and circumstances of this case, the NYSE engaged in "state action" in conducting its investigation of Turk. While the Commission rejected Turk's argument that the NYSE is a state actor generally and found that the evidence Turk has presented thus far in support of his state action argument is insufficient to establish that the NYSE has engaged in state action, the Commission concluded, however, that "it is appropriate to provide Turk an opportunity to develop a full evidentiary record on the state action question." (Rel. 34-55942; File No. 3-12404) IN THE MATTER OF JOHN HANCOCK INVESTMENT MANAGEMENT SERVICES, LLC, JOHN HANCOCK DISTRIBUTORS LLC, JOHN HANCOCK ADVISERS, LLC, AND JOHN HANCOCK FUNDS, LLC On June 25, the Commission issued a settled order against certain investment advisers and broker-dealers owned by Manulife Financial Corporation (Manulife Financial) and John Hancock Financial Services, Inc., (John Hancock), which merged into one complex in 2004, charging them with violating the federal securities laws from at least 2001 until as late as 2004 when the investment advisers failed to disclose their use of brokerage commissions to pay for their affiliated distributors' marketing expenses concerning the sale of mutual fund and variable annuity products offered by related Manulife Financial and John Hancock entities. According to the Commission's order, John Hancock Investment Management Services, LLC (John Hancock Management) (known during the relevant period as Manufacturers Securities Services, LLC) and John Hancock Advisers, LLC (John Hancock Advisers), advisers respectively to the Manulife Financial variable annuity trust portfolios and the John Hancock retail mutual funds, directed brokerage commissions from transactions in the trust portfolios and retail mutual funds they advised to pay for marketing expenses their affiliated distributors incurred under the distributors' own marketing arrangements with broker-dealers. These marketing arrangements are known as "revenue sharing" arrangements. The commissions were trust portfolio and retail mutual fund assets, and were in addition to the distribution-related expenses that the variable series trust and mutual fund boards had authorized, but the investment adviser respondents did not disclose to the trust or retail mutual fund boards the use of these assets to pay their affiliates' revenue sharing obligations, in breach of their fiduciary duty to the trust and retail mutual funds. John Hancock Distributors LLC (John Hancock Distributors) (known during the relevant period as Manulife Financial Services, LLC) and John Hancock Funds, LLC (John Hancock Funds), the broker-dealer affiliates that distributed the Manulife Financial variable annuity products and John Hancock's retail mutual funds, negotiated and were obligated under the marketing arrangements. They knew or should have known that John Hancock Management and John Hancock Advisers failed to disclose to the trust and retail mutual fund boards the use of brokerage commissions to pay for these revenue sharing obligations. The Commission's order censures each of the entities and requires each of them to cease-and-desist from committing or causing certain violations of federal securities laws and to undertake certain compliance reforms. As part of the settlement, the entities agreed to pay, in total, $19,287,880.95 in disgorgement, which will be distributed to the affected funds and a $2 million penalty, which will be paid to the U.S. Treasury. John Hancock Management, John Hancock Distributors, John Hancock Advisers and John Hancock Funds settled to the entry of the Commission's order without admitting or denying the Commissions finding. SAUER On June 25, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, Making Findings and Imposing Remedial Sanctions (Order) against Willam P. Sauer. The Order finds that on May 31, 2007, an order was entered against Sauer permanently enjoining him from future violations of Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933, Sections 10(b) and 15(a) of the Exchange Act and Rule 10b-5 thereunder, in the civil action entitled SEC v. William P. Sauer, James M. Jordan and Phil D. Kerley, Civil Action Number 1:02-CV-2191, in the United States District Court for the Northern District of Georgia. The Commission's complaint alleged that, in connection with the unregistered sale of investment contracts, Sauer fraudulently sold at least $1 million each of the ETS and GTSW/GCC sale-leaseback investments. According to the complaint, the ETS, GTS and GCC investment agreements were substantially similar in structure, although each investment had a different purchase price and promised investors a slightly different return varying from 14 percent to 15 percent. The complaint alleged that Sauer knew, or was severely reckless in failing to discover, that ETS, GTS and GCC were functioning as Ponzi schemes. The Commission's complaint also alleged that Sauer knew, or was severely reckless in not knowing, that his representations that ETS, GTS and GCC, were safe investments and that ETS, GTS and GCC were profitable companies, were false. The complaint also alleged that by virtue of his conduct, Sauer engaged in business as a broker-dealer and induced and attempted to induce the purchase and sale of securities. Sauer was not registered with the Commission as a broker or dealer, and was not associated with any broker or dealer. Based on the above, the Order bars Sauer from association with any broker or dealer. Sauer consented to the issuance of the Order without admitting or denying any of the allegations in the civil injunctive action. (Rel. 34-55948; File No. 3-12665) SEC v. ROB ROY J. GRAHAM The Commission announced today that on June 21, 2007, it filed a civil fraud action in Massachusetts federal court against Rob Roy J. Graham, the former CFO of Intervoice, Inc., for engaging in a fraudulent scheme to inflate Intervoice's revenues and misstate other important financial metrics so as to deceive investors as to the company's true financial condition. Graham, a resident of Dallas, Texas, has agreed to settle with the Commission without admitting or denying the allegations in the complaint. Under the settlement, Graham agreed to the entry of an order that enjoins him from future violations of the antifraud and books and records provisions of the securities laws, imposes a permanent officer and director bar, and requires payment of over $200,000 for civil penalties and disgorgement. WESTELMAN The Commission announced that on June 21, 2007, it filed a civil fraud action in Massachusetts federal court against Richard J. Westelman and Steven Forman, the former CFO and controller of Speechworks International, Inc. (now a part of Nuance, Inc.). The Commission charged that Westelman, a resident of Scituate, Massachusetts, and Forman, a resident of Chelmsford, Massachusetts, engaged in a fraudulent scheme to inflate Speechworks' revenues and misstate other important financial metrics so as to deceive investors as to the company's true financial condition. The Commission also charged Arthur Haberman, Speechworks' former director of finance, with violating and aiding and abetting Speechworks' violations of various books and records provisions of the federal securities laws. Both Westelman and Haberman have agreed to settle with the Commission without admitting or denying the allegations in the complaint. Westelman agreed to the entry of an order that enjoins him from future violations of the antifraud and books and records provisions of the securities laws, imposes a permanent officer and director bar, and requires payment of a $100,000 civil penalty. Haberman agreed to the entry of an order that enjoins him from future violations of the books and records provisions of the securities laws and requires payment of a $25,000 civil penalty. The Commission's action against Forman, in which it is seeking injunctions, an officer and director bar, and a civil penalty, is pending in the U.S. District Court for the District of Massachusetts. The Commission announced today that on June 21, 2007, it filed a motion seeking appointment of a receiver to operate Universal Express, Inc., a Nevada corporation with offices in Boca Raton, Florida and New York City, New York. The SEC's request follows entry of a permanent injunction on April 2, 2007, prohibiting the company from violating the securities registration and antifraud provisions of Sections 5 and 17(a) of the Securities Act, Section 10(b) of the Exchange Act and Rule 10b-5. On Feb. 21, 2007, the Honorable Gerard E. Lynch of the Southern District of New York entered an Opinion and Order determining that Universal Express had issued over 500 million unregistered shares between April 2001 and January 2004, and issued several false press releases. The court ordered the company to pay over $21 million in disgorgement and civil penalties. The company has not paid the disgorgement and civil penalties ordered, and filed on June 2, 2007, a notice of appeal challenging the district court's decision.
