SEC NEWS DIGEST Issue 2007-119 June 21, 2007 COMMISSION ANNOUNCEMENTS SEC VOTES TO ADOPT FINAL AMENDMENTS TO RULE 105 OF REGULATION M, SHORT SELLING IN CONNECTION WITH A PUBLIC OFFERING The Securities and Exchange Commission voted unanimously on Wednesday, June 20, 2007, to adopt amendments to strengthen Rule 105 of Regulation M. Rule 105 helps prevent abusive short selling and market manipulation to ensure that offering prices are set by natural forces of supply and demand for the securities being offered rather than by manipulative activity. When a trader expects to receive shares in an offering, there is an incentive to sell short prior to pricing an offering and then cover that short position with shares bought at the reduced offering price. By doing so, the trader can cover the short sale with minimal risk, and generally lock in a guaranteed profit - to the detriment of the issuer and the other shareholders. The amendments change the way the rule works to prevent this from happening. They replace the rule's current limitation on covering the short sales in the offering with a prohibition on purchasing in the offering after a short sale in the securities. This change was triggered by persistent non-compliance with the rule and a string of strategies to conceal the prohibited covering. Under the amended rule, if a person sells short during the restricted period prior to pricing, that person is prohibited from purchasing the offered security. Thus, the amended rule changes the prohibited activity from covering to purchasing the offered security. In order to ensure that the rule does not unduly limit the pool of possible purchasers in follow on and secondary offerings, it includes a provision to allow a restricted period short seller to participate in an offering if the seller makes a bona fide purchase prior to pricing an offering. Moreover, the amended rule also includes exceptions concerning investment companies and certain other entities that make separate trading and investment decisions. Thus, for example, the rule does not prevent one account from purchasing in an offering even though a related account sold short during the restricted period where the accounts were not coordinating their trading or sharing profits. This matter was originally scheduled for the June 13th open meeting, but was postponed in order to clarify the amendment's application to entities with certain related accounts. The Rule 105 amendments will be effective 60 days after publication in the Federal Register. FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS The Commission announced the temporary suspension, pursuant to Section 12(k) of the Securities Exchange Act of 1934 (the Exchange Act), of trading of the securities of American Teletronics, Inc., n/k/a Shine Holdings, Inc. (Shine Holdings) (symbol SHDG) of Cary, North Carolina, commencing at 9:30 a.m. EDT on June 21, 2007, and terminating at 11:59 p.m. EDT on July 5, 2007. The Commission temporarily suspended trading in the securities of Shine Holdings due to a lack of current and accurate information about the company because it has not filed periodic reports since the period ended Sept. 30, 1996. RULES AND RELATED MATTERS SEC ISSUES NEW GUIDANCE FOR COMPLIANCE WITH SECTION 404 OF SARBANES- OXLEY On June 20, the Commission issued interpretive guidance, unanimously approved on May 23, to help public companies strengthen their internal control over financial reporting while reducing unnecessary costs, particularly at smaller companies. The new guidance will enhance compliance under Section 404 of the Sarbanes-Oxley Act of 2002 by focusing company management on the internal controls that best protect against the risk of a material financial misstatement. The Commission also issued final rule amendments providing that a company that performs an evaluation of internal control in accordance with the interpretive guidance satisfies the annual evaluation required by Exchange Act Rules 13a-15(c) and 15d-15(c), defining the term "material weakness," and revising the requirements regarding the auditor's attestation report on the effectiveness of internal control over financial reporting. The Commission also issued a release requesting comment on a proposed definition of the term "significant deficiency." The interpretive guidance will be effective upon publication in the Federal Register (Rel. 34-55929). The final rule amendments will be effective 60 days after publication in the Federal Register (Rel. 34- 55928). The comment period for the proposed definition of "significant deficiency" will close 24 days after publication in the Federal Register (Rel. 34-55930). ENFORCEMENT PROCEEDINGS SEC FILES SETTLED ACTION AGAINST CAMBREX FOR VIOLATING BOOKS AND RECORDS AND INTERNAL CONTROLS PROVISIONS OF THE FEDERAL SECURITIES LAWS On June 20, the Commission instituted and settled enforcement proceedings against Cambrex Corporation (Cambrex) for violations of the recordkeeping and internal controls provisions of Section 13 of the Securities Exchange Act of 1934 (Exchange Act). Cambrex, headquartered in East Rutherford, New Jersey, is a life sciences company whose common stock is registered with the Commission pursuant to Section 12(b) of the Exchange Act and trades on the New York Stock Exchange. From at least 1997 through 2001, Cambrex failed to properly reconcile its intercompany accounts, thereby accruing an imbalance of approximately $17.1 million. Of that amount, approximately $3.5 million was erroneously reflected as income when in fact it should have been accounted for as an operating expense, and Cambrex could not ascertain whether another $2.6 million was also improperly booked as income. As a result, Cambrex issued erroneous periodic and annual reports, and, in January 2003, Cambrex restated its financial results for the five-year period, reducing net income after taxes by approximately $5 million. The imbalance occurred initially because Cambrex failed to reconcile its intercompany accounts on a monthly basis. As the intercompany imbalance grew, Cambrex executives knew that a historical reconciliation needed to be performed and were warned by Cambrex's outside auditors that the imbalance could have an impact on earnings. Nevertheless, Cambrex failed to reconcile its intercompany accounts until its executives were faced with the new executive officer certification requirements under the Sarbanes-Oxley Act of 2002. Although aware of the intercompany imbalance issue, Cambrex failed to adequately staff its internal accounting function and repeatedly failed to undertake or follow through with needed corrective measures. Without admitting or denying the Commission's findings, Cambrex consented to the issuance of an order pursuant to Section 21C of the Exchange Act. The order finds that based on the above conduct, Cambrex violated the books and records and internal controls provisions of the federal securities laws. The order requires Cambrex to cease and desist from committing or causing any violations and any future violations of Sections 13(b)(2)(A) and 13(b)(2)(B) of the Exchange Act and to comply with certain undertakings. In determining to accept Cambrex's offer of settlement, the Commission considered remedial acts undertaken by Cambrex and the cooperation that Cambrex afforded the Commission's staff during its investigation. (Rel. 34-55933; AAE Rel. 2620; File No. 3-12662) SEC INSTITUTES ADMINISTRATIVE PROCEEDINGS AGAINST AMERICAN TELETRONICS, INC., n/k/a SHINE HOLDINGS, INC., FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS The Commission today instituted public administrative proceedings against American Teletronics, Inc., n/k/a Shine Holdings, Inc. (American Teletronics), to determine whether the registration of each class of its securities should be revoked or suspended for a period not exceeding twelve months. In the order instituting administrative proceedings (Order) against American Teletronics, the Division of Enforcement (the Division) alleges that American Teletronics' securities are registered pursuant to Section 12 of the Securities Exchange Act of 1934 (Exchange Act). The Division also alleges that Exchange Act Section 13(a) and the rules promulgated thereunder require issuers with classes of securities registered pursuant to Exchange Act Section 12 to file with the Commission current and accurate information in periodic reports. The Division further alleges that American Teletronics is delinquent in its required periodic filings with the Commission, having last filed a periodic report for the period ending Sept. 30, 1996. In addition, the Division alleges that American Teletronics has failed to respond to an inquiry by the Division of Corporation Finance as to whether it intends to comply with its periodic filing obligations. In these proceedings, instituted pursuant to Section 12(j) of the Exchange Act, a hearing will be scheduled before an Administrative Law Judge. At that hearing, the judge will hear evidence from the Division and American Teletronics to determine whether the allegations contained in the Order are true. The judge will then determine whether it is necessary and appropriate for the protection of investors to revoke or suspend for a period not exceeding twelve months the registration of each class of American Teletronics' securities registered pursuant to Section 12 of the Exchange Act. The Commission has ordered that the administrative law judge issue an initial decision within 120 days from the service of the order instituting proceedings. (Rel. 34-55935; File No. 3-12663) COURT ENTERS FINAL JUDGMENT AGAINST FORMER BROKER FOR ROLE IN MUTUAL FUND MARKET TIMING AND LATE TRADING The Commission announced today that the U.S. District Court for the Southern District of New York (SDNY) entered a Final Judgment on June 19, 2007, in a settled action against Scott A. Christian, a former registered representative at Trautman Wasserman & Company, Inc. (TWCO). Christian, without admitting or denying the Commission's allegations, consented to the entry of the judgment that enjoins him from violations of Section 17(a) of the Securities Act of 1933, Sections 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 10b-5 thereunder, and from aiding and abetting violations of Sections 15(c) and 17(a) of the Exchange Act and Rules 10b-3 and 17a- 3. The final judgment also directs Christian to pay $250,000 of disgorgement. According to the SEC's Complaint filed in the SDNY in July 2005, Christian, a resident of New York, NY, engaged in late trading on behalf of Trautman Wasserman customers. See Litigation Release 19294 (July 7, 2005). Christian carried out the late trading scheme by having customers submit proposed mutual fund trading orders during the trading day and time-stamping them just before 4:00 p.m. to make it appear that customer orders were received before 4:00 p.m. Christian did not, however, enter these proposed trades for execution. Instead, Christian communicated with customers well after 4:00 p.m. (often until 6:30 p.m. or later) to determine if the customers wanted to execute the proposed orders or submit different orders based on post- 4:00 p.m. market information. After customers made their final post- 4:00 p.m. trading decisions, Christian entered the customers' orders into the trading system at the price based on the net asset value determined as of 4:00 p.m. Additionally, Christian created false records to conceal the late trading. Christian and Trautman Wasserman received 307 letters from 40 fund companies seeking to stop excessive trading by accounts at Trautman Wasserman. Knowing that mutual fund companies monitored market-timing activity by account number and registered representative identification number, Christian opened and traded in multiple accounts for his market-timing customers and utilized numerous different registered representative identification numbers, to evade mutual fund companies' restrictions on frequent trading. In addition, in July 2005, the Commission issued an order pursuant to Section 15(b) of the Exchange Act barring Christian from association with any broker or dealer based upon Christian's guilty plea to a criminal charge in New York state court. See Exchange Act Release No. 52163 (July 29, 2005). In a related matter, in February 2007, the Commission instituted administrative proceedings against TWCO, Gregory O. Trautman, Samuel M. Wasserman, James A. Wilson, Jr., Mark Barbera, Jerome Snyder, and Forde H. Prigot, alleging violations of the federal securities laws in connection with market timing and late trading.
