SEC NEWS DIGEST Issue 2007-115 June 15, 2007 COMMISSION ANNOUNCEMENTS NEW "COMPLIANCEALERTS" TO HELP SEC-REGISTERED FIRMS IDENTIFY DEFICIENCIES AND IMPROVE COMPLIANCE PROGRAMS On June 14, the staff of the Securities and Exchange Commission released its first ComplianceAlert letter to help chief compliance officers of SEC-registered firms learn more about common deficiencies and weaknesses that SEC examiners are finding during compliance examinations. This broader sharing of recent examination findings can benefit compliance officers and help them to proactively fine-tune their compliance and supervisory controls. The SEC's Office of Compliance Inspections and Examinations conducts compliance examinations of SEC-registered investment advisers, investment companies, broker-dealers, and transfer agents to determine whether firms are in compliance with federal securities laws and rules, and to help correct deficiencies and weaknesses in compliance and supervisory controls. The SEC staff's ComplianceAlert letter, available on the SEC Web site, summarizes select areas that SEC examiners have recently reviewed during examinations, describes issues that were found, and encourages firms to review compliance in these areas and implement improvements as appropriate. SEC staff plans to issue additional ComplianceAlert letters on the SEC Web site. SEC Chairman Christopher Cox said, "Investors are best protected when securities firms operate in full compliance with the law. Along with our CCOutreach Program, these ComplianceAlert letters are another step in our efforts to continue helping chief compliance officers foster robust compliance in the securities industry." Lori Richards, Director of the Office of Compliance Inspections and Examinations, said, "By sharing information about our examination findings, our goal is to alert firms to areas of compliance weakness so that they can take steps to proactively address any problems. Compliance staff at securities firms have often told us that they really value this kind of information, because they can use it as a roadmap to ensure that their firms have strong compliance and supervisory programs in these areas." The SEC staff's first ComplianceAlert letter provides information concerning recent examination findings in several areas, including with respect to investment advisers' performance advertising and business continuity planning, and with respect to broker-dealers' compliance with Regulation SHO, and sales of collateralized mortgage obligations, real estate investment trust products, and Section 529 College Savings Plans. (Press Rel. 2007-116) SEC CONDUCTS MAJOR SECURITIES MARKET OVERSIGHT TRAINING PROGRAM IN MIDDLE EAST On June 14, the Commission announced that it has completed a comprehensive Capital Market Development and Oversight Training Program in the Middle East, held in Manama, Bahrain, from June 3-6. The four-day regional program led by SEC staff included intensive training on methods for conducting investigations of insider trading, financial fraud and market manipulation. The training also focused on market surveillance techniques and broker-dealer inspections and compliance. The Middle East program featured 36 delegates from securities authorities, stock exchanges, and central banks from eight Middle Eastern countries. The program was held at the Bahrain Institute of Banking and Finance. Co-sponsors included the Central Bank of Bahrain, the Financial Services Volunteer Corps., and the National Association of Securities Dealers, with financial support from the U.S. Middle East Partnership Initiative. SEC Chairman Christopher Cox said, "The development of strong capital markets, supported by robust securities enforcement, is vital not only to the development of the region's economies, but also to the broader global capital marketplace. The strength of any one regulator is increasingly dependent on the ability of its foreign counterparts to effectively oversee and enforce their markets. We were extremely pleased to have had the opportunity to share views on securities market enforcement and oversight with our counterparts in the Middle East, and applaud their ongoing efforts to strengthen their regimes to the benefit of investors globally." The discussion of specific case studies based on real examples of insider trading, market manipulation, financial fraud, and broker-dealer examinations have provided participants in this program an invaluable opportunity to evaluate their capacity to deal with these market abuses in preparation for when they inevitably arise on their watch. Rules are meaningless without effective enforcement." William T. Monroe, U.S. Ambassador to Bahrain, noted, "These programs are tremendous opportunities for senior officials and staff from regulatory authorities in the United States and the Middle East to have candid discussions about the advantages and disadvantages of different regulatory models. The SEC's technical assistance training programs provided training for 1045 foreign officials from 107 foreign jurisdictions in fiscal year 2006 alone. In the last eighteen months, the SEC staff has conducted or substantially participated in regional or bilateral training programs in Uganda, China, India, Malaysia, the Philippines, Thailand, Vietnam, Ecuador, Peru, Trinidad and Tobago, Bahrain, and Saudi Arabia. Vietnam, Kuwait and Iraq have recently sought and been provided assistance in developing new securities laws. The SEC's flagship training programs are its International Enforcement Institute held in the fall of each year, and its International Institute for Securities Market Development held in the spring. Last April, the Institute for Securities Market Development audience totaled 174 senior securities officials from 74 emerging market jurisdictions. The technical assistance program includes regional training programs such as the Bahrain program, bilateral training programs, reviews of foreign statutes and regulations, and responses to specific technical assistance inquiries. (Press Rel. 2007-117) SEC DISTRIBUTIONS TO WORLDCOM FRAUD VICTIMS TOP HALF-BILLION DOLLAR MARK On June 14, the Commission announced that distributions from its Fair Fund to investor victims of the WorldCom, Inc. accounting fraud have surpassed $500 million. "The distribution of over a half-billion dollars through the SEC's WorldCom Fair Fund marks an important milestone in our successful program to return monies to injured investors," said SEC Chairman Christopher Cox. "In the last four years, through this and other SEC distributions, the Commission has returned nearly $2 billion to investor victims. I anticipate substantial additional distributions to investors in the near future." Richard C. Breeden, the SEC's distribution agent for the Fair Fund, has advised the agency that he expects the remaining $250 million from the original $750 million penalty obtained in a settlement with the company to be distributed later this year upon final resolution by the Court of any contested claims. The WorldCom Fair Fund has been under the oversight of the Honorable Jed S. Rakoff of the U.S. District Court for the Southern District of New York. Peter H. Bresnan, Deputy Director the SEC's Division of Enforcement, said, "We are pleased that investors defrauded by WorldCom have received over a half-billion dollars from our Fair Fund. The distribution is an important chapter in our enforcement efforts against WorldCom and the individuals at the center of the massive fraud at that company." The WorldCom Fair Fund distribution was made pursuant to Section 308 of the Sarbanes-Oxley Act of 2002, which gave the SEC the ability to seek court approval to distribute civil money penalties along with disgorgement to victims of securities fraud. By law prior to 2002, all civil penalties obtained by the SEC in securities enforcement actions were deposited in the general fund of the U.S. Treasury. The Commission sued WorldCom on June 26, 2002, the day after the company disclosed it had made misstatements on its financial statements for the preceding five fiscal quarters. In July 2003, the District Court entered a final judgment ordering WorldCom to pay a civil penalty. Pursuant to the Commission's request, this penalty was placed in a Fair Fund for the benefit of WorldCom's investor victims. (Press Rel. 2007-118) CHIEF ACCOUNTANT IS SEEKING CANDIDATES FOR TWO PROFESSIONAL ACCOUNTING FELLOW POSITIONS The Securities and Exchange Commission's Office of the Chief Accountant announced that it is now accepting applications for Professional Accounting Fellow (PAF) positions in the Office of the Chief Accountant. The PAF program, which began in 1972, is designed to provide participating fellows with outstanding opportunities for public service to investors, personal development, and career advancement. The Office of the Chief Accountant is currently seeking two PAF candidates to assist with special projects to study ways in which to reduce complexity and improve transparency in our current financial reporting system. During their fellowship, the successful candidates will have an opportunity to liaison with accounting, auditing and other professional standard-setting bodies as they assist the Office of the Chief Accountant with its initiatives to make improvements in financial reporting. Successful candidates may also have an opportunity to be involved in the study and development of rule proposals under the federal securities laws and consultations with registrants on reporting matters. ENFORCEMENT PROCEEDINGS COMMISSION ACCEPTS JURISDICTION OF NASDAQ STOCK MARKET LLC'S PETITION FOR REVIEW AND ESTABLISHES PROCEDURES FOR THE CONDUCT OF FURTHER PROCEEDINGS The Commission accepted jurisdiction, pursuant to Section 11A(b)(5) of the Securities Exchange Act of 1934, of Nasdaq Stock Market LLC's petition challenging the Consolidated Tape Association's (CTA) imposition of a $833,862 fee for Nasdaq to join the CTA Plan. The Commission found, however, that the record before it was insufficient to permit the necessary determinations under Section 11A(b)(5). The Commission ordered that an administrative law judge be appointed to preside over the proceeding. It also directed the parties to address certain enumerated questions. (Rel. 34-55909; File No. 3-12384) IN THE MATTER OF SCOTT MONSON An Administrative Law Judge has issued an Initial Decision in the matter of Scott G. Monson. The Order Instituting Proceedings (OIP) alleged that from June 2002 until September 2003 JB Oxford Holdings, Inc. (JB Oxford), through its subsidiaries JB Oxford & Co. and National Clearing Corporation, facilitated over 12,000 late mutual fund trades in over 600 funds. The OIP further alleged that Respondent Scott G. Monson, as JB Oxford's general counsel, was a cause of these violations. The Initial Decision concludes that JB Oxford violated Rule 22c-1 of the Investment Company Act of 1940 by permitting several clients to receive the previously computed net asset value for their orders to purchase or redeem mutual fund shares that were submitted after 4:00 p.m. Eastern time, a practice known as late trading. However, the Initial Decision concludes that Scott G. Monson did not cause JB Oxford's primary violations. Accordingly, the Initial Decision dismisses all charges against Scott G. Monson.
