SEC NEWS DIGEST Issue 2007-80 April 26, 2007 COMMISSION ANNOUNCEMENTS SEC ANNOUNCES $79 MILLION FAIR FUND DISTRIBUTION IN THE EDWARD JONES REVENUE SHARING SETTLEMENT The Securities and Exchange Commission today announced the distribution of a $79 million Fair Fund to current and former customers of Edward D. Jones & Co., L.P. The beneficiaries of the Fair Fund were victims of Edward Jones' failure to adequately disclose revenue payments from a select group of mutual fund companies. Linda Chatman Thomsen, Director of the Division of Enforcement, said, "This distribution marks a significant step in the Commission's program to return money to investors injured by improper mutual fund practices." On Dec. 22, 2004, the SEC brought settled administrative and cease- and-desist proceedings against Edward Jones for failing to adequately disclose its receipt of revenue sharing payments from a select group of mutual fund companies. Edward Jones consented to the entry of the SEC's Order without admitting or denying the SEC's findings. The Order found that Edward Jones had entered into revenue sharing agreements with seven "Preferred" mutual fund families. Edward Jones told the public and its customers that it was promoting the sale of the Preferred Families' mutual funds because of the funds' long-term investment objectives and performance. At the same time, however, Edward Jones failed to disclose that it received tens of millions of dollars of revenue sharing payments from the Preferred Families each year for selling their mutual funds. The SEC's Order required Edward Jones to pay disgorgement and prejudgment interest of $37.5 million and civil penalties of $37.5 million into a Fair Fund for distribution to benefit customers of Edward Jones and to retain an independent consultant to, among other things, administer the Fair Fund. On June 1, 2006, the SEC approved a distribution plan which provided for the pro rata distribution of the Fair Fund to current and former customers of Edward Jones who purchased shares of mutual funds of the Preferred Families between Jan. 1, 1999, and Dec. 31, 2004. The SEC also appointed James R. Doty of the law firm of Baker Botts, L.L.P. as the fund administrator responsible for distributing the Fair Fund. Pursuant to the distribution plan, eligible customers' shares of the Fair Fund distribution have been calculated based upon the amount of revenue sharing Edward Jones received for each customer's investments in mutual funds from the Preferred Families. Current customers who have active accounts with Edward Jones have received electronic distributions directly to their accounts at Edward Jones. Customers who no longer have active accounts with Edward Jones have been sent physical checks to their last-known addresses as verified by an address validation system. With today's final distributions, investors will receive all disgorgement, prejudgment interest, and civil penalties paid by Edward Jones, plus accumulated interest. (Press Rel. 2007-75) SEC, GERMAN BaFIN SIGN REGULATORY COOPERATION ARRANGEMENT The Securities and Exchange Commission and the German Federal Financial Supervisory Authority (Bundesanstalt für Finanzdienstleistungsaufsicht, or BaFin) today signed a comprehensive arrangement to facilitate their supervision of internationally active firms and their oversight of markets. At a meeting in Berlin, SEC Chairman Christopher Cox and BaFin President Jochen Sanio executed a memorandum of understanding (MOU) that provides clear mechanisms for consultation, cooperation, and exchanges of information between their agencies. The MOU sets forth the terms and conditions for the sharing of information about regulated entities and financial groups that operate in the United States and Germany and, in view of the growing trend toward cross- border exchange affiliations, outlines a framework for cooperation in the oversight of markets in both countries. Chairman Cox said, "The SEC and BaFin share a commitment to keeping our markets open, fair and transparent in an ever-changing and increasingly global marketplace. We must continue working together to facilitate the seamless and efficient regulation of internationally active firms in the United States and Germany. This arrangement helps the SEC and BaFin have access to the information necessary to supervise global securities firms and oversee markets." President Sanio said, "There is already a tradition of cooperation between the SEC and BaFin. By signing this MOU we are now giving it an even wider framework. In times of increasing globalization, such agreements are very valuable - for the regulators of both countries and for the companies involved." STARCASH, INC., ET AL. The Commission announced that on April 12, 2007, a federal Grand Jury in the Southern District of Florida indicted Jeanne B. Leclercq and Frederick J. Shapiro on multiple counts of mail fraud, wire fraud, money laundering, and conspiracy to commit mail and wire fraud. Leclercq is the former president and chief executive officer, and Shapiro, the former chief financial officer, of Starcash, Inc. (Starcash), a now defunct company that was purportedly in the business of making payday advance loans. The indictments stem from Leclercq and Shapiro's role in a scheme in which they and Starcash fraudulently raised more than $8.3 million from investors nationwide. Leclercq and Shapiro were both arrested. According to the indictment, Leclercq and Shapiro, through telephone calls, faxes, e-mails, and in promotional materials, solicited investors to provide money to Starcash. The indictment alleges that the materials explained to investors that their money would be used to allow Starcash to fund current payday advance loans and to purchase additional loans on behalf of investors. The indictment also alleges that investors were led to believe that their investments was secured by "accounts receivable" checks of the payday loans, and that investor dollars would come into a trust account and be accessed only for funding advances and earning fees. In fact, according to the indictment, the Starcash investments were not secured and only a very small percentage of investor funds were used to fund payday loans. Instead, the indictment charges that the majority of investor funds were used to pay substantial commissions to Starcash's sales agents; to make "dividend" payments to other investors; and to fund a luxurious lifestyle for Leclercq and Shapiro and their friends and family members. The indictment also charges that Starcash's promotional materials did not disclose that six states and one Canadian province had issued cease and desist order prohibiting Starcash from continuing to raise money in those jurisdictions. On March 16, 2002, the Commission filed an emergency civil injunctive action in the United States District Court for the Southern District of Florida against Starcash, Leclercq, and Shapiro, among others, and obtained a temporary restraining order, an asset freeze and an appointment of a receiver against them. On Sept. 23, 2002, the Commission obtained orders of permanent injunction against Leclercq and Shapiro, pursuant to their consents and without admitting or denying the Commission's allegations, based on their violations of Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933, and Sections 10(b) and 15(a) of the Securities Exchange Act of 1934 and Rule 10b-5 promulgated thereunder. On Oct. 29, 2003, the Commission obtained final judgments setting disgorgement and imposing civil penalties against Leclercq and Shapiro. The indictments against Leclercq and Shapiro were derived from the same activity that led to Commission's filing of its emergency civil injunctive action against them. [SEC v. Starcash, Inc., et al., Case No. 02-80456-CIV-MIDDLEBROOKS (S.D. Fla.)] (LR-20092) FEDERAL JUDGE PERMANENTLY ENJOINS SIX SAN DIEGO DEFENDANTS IN A SECURITIES FRAUD SCHEME The Commission announced that on April 11, 2007, the Honorable Jeffrey T. Miller, United States District Judge for the Southern District of California, entered an amended default judgment against two San Diego defendants: Vince Dory and Joshua Adams, ages and residences unknown. Previously, on Dec. 12, 2006, the Court entered a default judgment against the other four defendants, which are all San Diego entities: Global Health, Global Clearing, Global Strategies and Goldman Quintero & Associates ("Goldman" and collectively the "Entity Defendants"). The Commission's complaint, which was filed on Sept. 9, 2004, alleged that the defendants cold called prospective investors and falsely represented, that Global Health had developed a cancer treatment that was on the verge of receiving, and then actually received, FDA approval. The defendants also sent letters to prospective investors on FDA letterhead that stated that Global Health's cancer treatment had been approved by the FDA and that it could soon begin marketing its product. The complaint alleged that the FDA letters were forgeries, and the statements that they contained were false. The judgments permanently enjoin each of the defendants from future violations of Sections 5(a), 5(c), and 17 (a) of the Securities Act of 1933 (Securities Act) and Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act), and Rule 10b-5 thereunder. The judgments also permanently enjoin Dory, Adams, and the Entity Defendants, except Global Health, from future violations of Section 15(a) of the Exchange Act. Additionally, the judgments order all of the defendants, jointly and severally, to pay $247,250 in disgorgement of ill-gotten gains. Furthermore, the December 12 judgment orders the Entity Defendants to pay $11,328.39 in prejudgment interest and assesses a $100,000 civil penalty against each of them. The April 11 judgment orders Dory and Adams to pay $11,929.63 in prejudgment interest and assesses a $120,000 civil penalty against each of them.
