The Commission will hear oral argument on an appeal by Robert M. Fuller, a former Chairman of the Board of Directors and Executive Vice-President for Investor Relations of Vista 2000, Inc. (Vista), from an administrative law judge's initial decision. The law judge found that Fuller caused Vista to violate Section 17(a) of the Securities Act of 1933, Sections 10(b) and 13(a) of the Securities Exchange Act of 1934, and Exchange Act Rules 10b-5, 13a-1, and 12b-20. The law judge ordered Fuller to cease and desist from committing or causing any violations or future violations of these provisions. The Commission will consider the following issues: a. whether Fuller caused Vista to commit the alleged violations; and b. if so, whether the imposition of a cease-and-desist order is appropriate and in the public interest. ENFORCEMENT PROCEEDINGS COMMISSION SANCTIONS FUNDAMENTAL PORTFOLIO ADVISORS, INC., LANCE BROFMAN, AND FUNDAMENTAL SERVICE CORPORATION FOR ANTIFRAUD VIOLATIONS The Commission has found that Fundamental Portfolio Advisors, Inc.(FPA), formerly a registered investment adviser, violated Section 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rule 10b-5 by making material misrepresentations and omissions in a 1993 and a 1994 prospectus and marketing materials of The Fundamental U.S. Government Strategic Income Fund (the Fund). The Commission also found that FPA violated Section 34(b) of the Investment Company Act by filing a registration statement that incorporated material misrepresentations included in one of the 1994 prospectus. Additionally, the Commission found that Fundamental Service Corporation (FSC), a registered broker- dealer affiliated with FPA, violated Section 17(a) of the Securities Act, Section 10(b) of the Exchange Act and Rules 10b-3, and 10b-5 thereunder, Section 15(c) of the Exchange Act and Rule 15c1-2 thereunder by disseminating the Fund's prospectuses and sales literature that contained material misrepresentations. The Commission further found that Lance M. Brofman of New York City, a person associated with FPA and FSC, aided and abetted, and was a cause of FPA's violations. The Commission further found that FPA wilfully violated Sections 206(1) and (2) of the Advisers Act by failing to disclose FPA's soft dollar arrangements to its Board of Directors, and that Brofman aided and abetted and was a cause of FPA's misconduct. The Commission has ordered that it is in the public interest to impose a civil money penalty of $250,000 on Brofman, and $500,000 each on FPA and FSC; to revoke FPA's and FSC's registrations; to bar Brofman from association with any broker, dealer, investment adviser, or investment company; and to order all three Respondents to cease and desist from committing or causing violations or future violations of the provisions that they were found to have violated. (Rels. 33-8251; 34-48177; IC- 26099; IA-2146; File No. 3-9461) SEC CHARGES THREE REGISTERED REPRESENTATIVES AND INVESTMENT ADVISER WITH FRAUD AND BROKER DEALER AND FORMER PRESIDENT WITH FAILURE TO SUPERVISE On July 15, the Commission instituted public administrative and cease- and-desist proceedings alleging that William I. Kissinger, Kissinger Advisory, Inc., Bert E. Miller, and Glenn F. Wilkinson defrauded twenty- nine of their customers and clients by omitting material facts in connection with the sale of Class B shares of mutual funds. The Division of Enforcement alleges that between 1998 and 2001, Kissinger, Kissinger Advisory, Miller, and Wilkinson repeatedly recommended that their customers invest $250,000 or more in Class B shares of a single family of mutual funds, which paid higher commissions than Class A shares of the same mutual funds, without disclosing, among other things, that Class A shares of those mutual funds would outperform Class B shares for investments of $250,000 or more. The Division also alleges that IFG Network Securities, Inc., the broker-dealer with whom Kissinger, Miller, and Wilkinson were formerly associated, and its former president, David Ledbetter, failed to supervise Kissinger, Miller, and Wilkinson reasonably. The Division alleges that Miller, Wilkinson, Kissinger and Kissinger Advisory violated Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934; that Kissinger Advisory violated Sections 206(1) and 206(2) of the Investment Advisers Act; and that Kissinger aided and abetted Kissinger Advisory's violations of the Advisers Act. The Division further alleges that IFG and Ledbetter violated the supervisory provisions of the Exchange Act, Sections 15(b)(4)(E) and 15(b)(6)(A). A hearing will be scheduled before an administrative law judge to determine whether the Division's allegations are true, to provide the respondents an opportunity to dispute these allegations, and to determine what sanctions, if any, are in the public interest. (Rels. 33-8252; 34-48178; IA-2147; File No. 3- 11179) PUBLIC ADMINISTRATIVE PROCEEDING INSTITUTED AGAINST GLOBAL TELEMEDIA INTERNATIONAL, INC. On July 16, the Commission issued an order instituting public proceedings pursuant to Section 12(j) of the Securities Exchange Act of 1934 against Global Telemedia International, Inc., an inactive Florida corporation. In the Order, the Division of Enforcement alleges, among other things, that Global Telemedia has failed to file its mandatory annual and quarterly reports, including its Forms 10-KSB for the years ended Dec. 31, 2001 and Dec. 31, 2002, and Forms 10-QSB for the quarters ended March 31, 2001, June 30, 2001, Sept. 30, 2001, March 31, 2002, June 30, 2002, Sept. 30, 2002, and March 31, 2003. Based on these actions, the Division alleges that Global Telemedia failed to comply with Section 13(a) of the Securities Exchange Act of 1934 and Rules 13a- 1, and 13a-13 thereunder. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide Global Telemedia with an opportunity to dispute these allegations, and to determine whether it is necessary and appropriate for the protection of investors to revoke or suspend the registration of Global Telemedia's common stock. (Rel. 34-48181; File No. 3-11181) PUBLIC ADMINISTRATIVE PROCEEDINGS INSTITUTED AGAINST XAIBE, INC. AND CEASE-AND-DESIST PROCEEDINGS INSTITUTED AGAINST LOWELL NICHOLAS The Commission instituted public administrative proceedings today pursuant to Section 12(j) of the Securities Exchange Act of 1934 against Xaibe, Inc., a defunct public company previously headquartered in Houston, Tex., to determine whether it failed to comply with Section 13(a) of the Exchange Act and Rules 12b-20, 13a-1, 13a-11, and 13a-13 thereunder, and whether the registration of its common stock pursuant to Section 12(g) of the Exchange Act should be revoked or suspended. The Commission also instituted administrative cease-and-desist proceedings today pursuant to Section 21C of the Exchange Act against Lowell Nicholas, Xaibe's sole officer and director, to determine if Nicholas violated Section 10(b) of the Exchange Act and Rule 10b-5 thereunder and was a cause of Xaibe's failure to comply with Section 13(a) of the Exchange Act and Rules 12b-20, 13a-1, 13a-11, and 13a-13 thereunder. In its order instituting proceedings, the Division of Enforcement alleges that Nicholas caused Xaibe to file a late Form 10-KSB for the year ended June 30, 2001 that was materially false and misleading because it purported to include audited financial statements when, in fact, the financial statements were not audited. According to the Division, at the time Nicholas caused Xaibe to file the Form 10-KSB, Xaibe's independent auditing firm had performed field work for the audit but had not completed the audit or issued its audit report. In the order, the Division also alleges that Xaibe, through Nicholas, failed to file mandatory annual and quarterly reports since December 2001 and failed to file a Form 8-K disclosing the resignation of its auditor in May 2002. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the order are true, to provide Xaibe and Nicholas an opportunity to dispute these allegations, and to determine what sanctions, if any, are appropriate and in the public interest. (Rels. 34-48182; AAER-1814; File No. 3-11182) PROCEEDINGS INSTITUTED AGAINST RGW ACQUISITION CORPORATIONS I THROUGH X On July 16, the Commission instituted administrative proceedings against ten corporations, RGW Acquisition Corporations I, II, III, IV, V, VI, VII, VIII, IX, and X, of Atlanta, Ga., seeking to suspend or revoke the registration of each of their common stocks. The Commission order instituting the proceedings alleges that the corporations failed to comply with the reporting provisions of the federal securities laws by failing to file mandatory annual and quarterly reports. An administrative law judge will schedule a hearing to determine whether the allegations are true and whether to suspend or revoke the registration of the stock of the corporations. (Rel. 34-48183; File No. 3-11183) TIMOTHY GAMWELL CONSENTS TO ENTRY OF CEASE-AND-DESIST ORDER IN CONNECTION WITH CAPITAL CONSULTANTS ADVISORY FRAUD The Commission instituted a public cease-and-desist proceeding against Timothy B. Gamwell pursuant to Section 203(k) of the Investment Advisers Act. Simultaneously with the institution of the proceeding, Gamwell submitted an Offer of Settlement in which, while neither admitting nor denying the Commission's findings, he consented to the entry of an order requiring him to cease and desist from committing or causing any violations and any future violations of the antifraud provisions of Section 206(2) of the Advisers Act. The Commission's Order found that Gamwell, a resident of Key Biscayne, Fla., was a cause of an undisclosed Ponzi-like scheme operated by Capital Consultants, LLC, a Portland, Ore., investment adviser formerly registered with the Commission. From December 1998 to August 2000, Capital Consultants used client funds to make interest payments to other clients who were invested in a failed $160 million loan. Gamwell agreed to purchase a portion of the failed $160 million loan in exchange for loans from Capital Consultants to two entities controlled by Gamwell, Brooks Financial, LLC and Beacon Financial Group, LLC. From June 1999 to July 2000, Capital Consultants lent Brooks and Beacon about $74 million, over $15.2 million of which was used to make interest payments on the failed loan. The Order found that Gamwell caused Capital Consultants' violation of Section 206(2) of the Advisers Act because he was negligent in not knowing about the advisory fraud. (Rel. IA-2148; File No. 3-11180) SELF REGULATORY ORGANIZATIONS IMMEDIATE EFFECTIVENESS OF PROPOSED RULE CHANGE On June 30, 2003, the Pacific Exchange filed a proposed rule change (SR- PCX-2003-30) to expand the scope of its marketing fee program. The proposed rule change has become immediately effective under Section 19(b)(3)(A) of the Securities Exchange Act of 1934. Publication is expected in the Federal Register during the week of July 14. (Rel. 34- 48175) APPROVAL OF PROPOSED RULE CHANGES The Commission approved proposed rules (PCAOB-2003-03) submitted by the Public Company Accounting Oversight Board relating to the registration of public accounting firms, to implement Section 102 of the Sarbanes- Oxley Act of 2002. (Rel. 34-48180) The Commission has approved a proposed rule change (SR-DTC-2002-19) filed by The Depository Trust Company under Section 19(b) of the Exchange Act. The order allows DTC to establish an Inventory Management System. The Inventory Management System is designed to reduce late-in- the-day interventions, such as exempting and reclaiming trades, by providing participants with an automated, centrally managed system whereby DTC participants will be able to control the order and timing of their deliveries. Publication of the proposal is expected in the Federal Register during the week of July 14.
