SEC NEWS DIGEST Issue 2003-103 May 30, 2003 ENFORCEMENT PROCEEDINGS COMMISSION DECLARES DECISION AS TO HUDSON INVESTORS FUND, INC. AND HUDSON ADVISERS, INC. FINAL On May 29, the decision of an administrative law judge with respect to Hudson Investors Fund, Inc. and Hudson Advisers, Inc. became final. The law judge sanctioned Hudson Investors Fund, Inc. and Hudson Advisers, Inc. for violating the antifraud and reporting provisions of the federal securities laws by failing to disclose material facts concerning certain agreements and relationships that Javed Anvar Latef, the Fund's president and director, entered into with Larry Alan Stockett. The law judge ordered that Hudson Investors Fund, Inc. cease and desist from committing or causing violations or future violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934, and Exchange Act Rule 10b-5, and Section 34(b) of the Investment Company Act of 1940. The law judge further ordered that Hudson Advisers, Inc. cease and desist from committing or causing any violations or any future violation of Section 17(a) of the Securities Act, Section 10(b) of the Exchange Act and Exchange Act Rule 10b-5, Section 34(b) of the Company Act, and Sections 204 and 207 of the Investment Advisers Act of 1940 and Advisers Act Rule 204-1(b). (Rel. 34-47939; IC-26061; File No. 3-9374) IN THE MATTER OF YEHUDA SHIV On May 29, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 203(f) of the Investment Advisers Act of 1940, Making Findings and Imposing Remedial Sanctions (Order) against Yehuda Shiv (Shiv). The Order finds that Shiv was associated with Sagam Capital Management Corp. and Sagam Capital LLC, two investment advisers registered with the Commission and that on Jan. 23, 2003, a permanent injunction was entered against Shiv in the civil action Securities and Exchange Commission v. Yehuda Shiv, et al., 01CV11282 (S.D.N.Y.) (AKH). In this action, Shiv was permanently enjoined from further violations of Sections 17(a) of the Securities Act of 1933, Sections 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder, and Sections 206(1) and 206(2) of the Investment Advisers Act of 1940 (Advisers Act). The Order also finds that on July 24, 2002, Shiv pleaded guilty to two counts of securities fraud in violation of Section 10(b) of the Exchange Act and Rule 10b-5 and Sections 206(1) and 206(2) of the Advisers Act. Based on the above, the Order bars Shiv from association with any investment adviser. Shiv consented to the issuance of the Order without admitting or denying any of the allegations in the civil injunctive action. (Rel. IA-2133; File No. 3-11138) COURT ENTERS JUDGMENT AGAINST THREE FORMER SENIOR OFFICERS OF COHR, INC. FOR SECURITIES FRAUD; COHR'S FORMER CHIEF FINANCIAL OFFICER IS SUSPENDED BY THE COMMISSION FROM APPEARING OR PRACTICING BEFORE IT AS AN ACCOUNTANT On May 20, the Honorable Ricardo M. Urbina, U.S. District Judge for the District of Columbia, entered Judgments of Permanent Injunction and Other Relief against three former senior officers of COHR, Inc. (COHR). The Commission previously filed a settled action on February 10, 2003, alleging that Umesh Malhotra (Malhotra), Paul Chopra, and David Manigault (Manigault) had defrauded investors from 1996 through 1998 by improperly recognizing revenue in violation of generally accepted accounting principles and by engaging in other accounting tricks that fraudulently inflated COHR's revenue and pre-tax profit. All three defendants, without admitting or denying the Commission's allegations in the complaint, consented to the entry of the Judgments, which enjoined them from violating the federal securities laws. In addition, Malhotra was ordered to pay a civil penalty of $32,500 and to be permanently barred from serving as an officer or director of any public company. The complaint also alleged that all three defendants aided and abetted COHR's violations of Sections 13(a), 13(b)(2)(A) and 13(b)(2)(B) of the Exchange Act and Exchange Act Rules 12b-20, 13a-1, and 13a-13. On May 30, based on the entry of the final judgment against Malhotra, the Commission also instituted settled administrative proceedings against Malhotra pursuant to Section 102(e)(3) of the Commission's Rules of Practice. Without admitting or denying the Commission's findings, Malhotra consented to the entry of the Commission's Order, which suspends him from the privilege of appearing or practicing before the Commission as an accountant.
