SEC NEWS DIGEST Issue 2003-29 February 12, 2003 COMMISSION ANNOUNCEMENTS SEC ISSUES RULE PROPOSAL TO IMPROVE TIMELINESS OF ADMINISTRATIVE PROCEEDINGS AND APPEALS The Commission has proposed amendments to its Rules of Practice to formalize new policies designed to improve the timeliness of administrative proceedings and appeals. "Unnecessary delay in the administrative proceeding process has plagued the Commission for decades," SEC Chairman Harvey L. Pitt said. "I believe that these changes, when they are adopted, will reduce significantly the time required to complete an administrative proceeding. This will improve the efficacy of the process and the value of Commission opinions as a vehicle for providing guidance to securities professionals. "At my request, Commissioner Roel C. Campos conducted an independent examination of current procedures and processes in this area," Pitt said. "His outstanding work was the basis for the proposed amendments." The amendments were proposed by the Commission on Feb. 11, 2003. "These proposed amendments reflect my personal experience as a federal prosecutor and my strong belief that legal proceedings, to be effective, must be timely completed," Commissioner Campos said. "In studying the Commission's processes, I spoke at length with attorneys, administrative law judges, and federal judges. I used current best practices in the federal courts as a model for these proposals." The proposed amendments, if adopted, would, among other things, require administrative law judges to complete the hearing and issue an initial decision within a time period specified by the Commission for each case. In addition, the proposed amendments would reduce the current Rules of Practice guideline for issuance of Commission opinions from 11 months to seven months from the date of an appeal. Comments on the proposed rule amendments should be received by the agency within 30 days of publication in the Federal Register. (Press Rel. 2003-23) ENFORCEMENT PROCEEDINGS ADMINISTRATIVE PROCEEDINGS INSTITUTED AGAINST RAYLEN PARRA On Feb. 11, the Commission instituted administrative proceedings pursuant to Section 15(b) of the Securities Exchange Act of 1934 (Exchange Act) against Raylen Parra (Parra) of Orlando, Florida, to determine whether remedial sanctions should be imposed against her based on an allegation that a default judgment of permanent injunction and other relief was entered against her, enjoining her from further violations of Sections 17(a) and 17(b) of the Securities Act of 1933 (Securities Act), Section 10(b) of the Exchange Act and Rule 10b-5 thereunder. The Order Instituting Administrative Proceedings (Order) alleges that Parra was the president and chief executive officer of Norrstar Advertising, Inc., a now defunct broker relations firm formerly located in Daytona Beach, Florida. The Order also alleges that during the period from approximately September 1998 to September 1999, Norrstar's staff of "broker relations executives" at the direction of Parra, disseminated false and misleading information to the investment community concerning the stock of at least five public companies quoted on the Over-the-Counter Bulletin Board. The Order further alleges, among other things, that while touting the stock of the public companies, Norrstar's principals, including Parra, reaped illegal profits of more than $3.4 million by engaging in the practice of "scalping" -- selling the stock of public companies they were simultaneously recommending to others to purchase. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide Parra an opportunity to dispute these allegations, and to determine what remedial sanctions if any, are appropriate and in the public interest. (Rel. 34-47343; File No. 3-11041) THREE FORMER SENIOR OFFICERS OF COHR, INC. SETTLE SEC CHARGES OF SECURITIES FRAUD On Feb. 10, the Commission filed a settled complaint in the U.S. District Court for the District of Columbia against three former senior officers of COHR, Inc. (COHR), alleging that they defrauded investors by improperly recognizing revenue in violation of generally accepted accounting principles and by engaging in other accounting tricks that fraudulently inflated COHR's revenue and pre-tax profit. The complaint alleges that the fraud was carried out between 1996 and 1998 by COHR's senior management at the time, Umesh Malhotra (Malhotra), its former Chief Financial Officer, Paul Chopra (Chopra), its former Chief Executive Officer, and David Manigault (Manigault), its former Chief Information Officer and Senior Vice President. The fraud included recording fictitious revenue, improper capitalization of expenses, improper reduction of reserves, and premature recognition of revenue. The purpose of the fraud was to portray COHR as a growing and successful company when in fact it was a struggling company that by 1998 was losing money. The complaint charges all three defendants with violations of Section 10(b) and 13(b)(5) of the Securities Exchange Act of 1934 (Exchange Act) and Exchange Act Rules 10b-5, 13b2-1 and 13b2-2. The complaint also charges all three defendants with aiding and abetting COHR's violations of Sections 13(a), 13(b)(2)(A) and 13(b)(2)(B) of the Exchange Act and Exchange Act Rules 12b-20, 13a-1, and 13a-13. Simultaneously with the filing of the Commission's complaint, without admitting or denying the Commission's allegations, all of the defendants consented to the entry of a final judgment permanently enjoining them from violating the federal securities laws. In addition, Malhotra agreed to pay a civil penalty of $32,500, to be permanently barred from serving as an officer or director of any public company, and to an order suspending him from the privilege of appearing or practicing before the Commission as an accountant. Manigault also agreed to pay a civil penalty of $25,000. Based upon his sworn representations in his Statement of Financial Condition, no penalties or disgorgement will be obtained from Chopra. Umesh Malhotra, Paul Chopra and David Manigault, Civil Action No. 1:03CV00211, D.D.C.] (LR-17979) FORMER FIDELITY EMPLOYEE CONVICTED OF OBSTRUCTING AND IMPEDING SEC INVESTIGATION The Commission announced that a federal jury convicted Richard P. Callipari, formerly of Johnston, Rhode Island, of corruptly endeavoring to obstruct and impede an SEC investigation by means of false, misleading, evasive and deceptive testimony. In February 1998, as the SEC was investigating Callipari's activities, he gave sworn testimony, which the evidence showed was false. Callipari also was convicted of conspiring to defraud Fidelity and ten counts of wire fraud. The case was investigated by the Federal Bureau of Investigation in Boston, with assistance from the Securities and Exchange Commission. It was prosecuted by Assistant U.S. Attorneys Mullin and Bookbinder, who are stationed at the U.S. Attorney's Office in Massachusetts but have been assigned to the U.S. Attorney's Office in Providence for this case. Richard Callipari, USDC, District of Rhode Island, No. 02-CR-67- ALL] (LR-17980) FINAL JUDGMENT ENTERED AGAINST MONEY MANAGER STEVIN HOOVER The Commission announced today that the Honorable Richard G. Stearns of the United States District Court for the District of Massachusetts entered a final judgment by consent against former money manager Stevin R. Hoover, age 54, and his two wholly owned entities, Hoover Capital Management, Inc. (HCM), formerly a registered investment adviser, and Chestnut Management LLC, an unregistered investment adviser. In its complaint, the Commission alleged that between 1995 and 2001, Hoover misappropriated funds from investment advisory clients, including the Chestnut Fund LP, a hedge fund founded and managed by Hoover. The Commission also alleged that Hoover solicited and obtained investments in the hedge fund by making fraudulent misrepresentations to prospective investors, and that Hoover attempted to conceal his misappropriations by distributing fictitious account statements to investors. Without admitting or denying the Commission's allegations, Hoover and his entities consented to a final judgment ordering them to pay disgorgement and prejudgment interest in the amount of $1,011,007.48. The defendants also agreed to entry of injunctions that permanently enjoin them from future violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and Sections 206(1) and 206(2) of the Investment Advisers Act of 1940 (Advisers Act). Defendants Hoover and HCM were additionally permanently enjoined from future violations of Sections 204 and 206(4) of the Advisers Act and Rules 204-2(a)(5), 204-2(a)(6), 204- 2(a)(7), 204-2(a)(9), 204-2(a)(10), and 206(4)-1(a)(5) thereunder. Civil penalties were not imposed on the defendants based on representations made in their sworn Statements of Financial Condition. In addition, the Court has appointed Keith D. Lowey, CPA, of Foxborough, Massachusetts, as Receiver over the hedge fund and over accounts of other remaining clients of Hoover or his entities. In a relating administrative proceeding, Hoover and HCM consented, without admitting or denying the underlying allegations, to the entry of an Order Making Findings and Imposing Remedial Relief. The Order permanently bars Hoover from association with an investment adviser and censures HCM. HCM withdrew its registration as an investment adviser with the Commission in January 2002. Previously, Hoover pleaded guilty to criminal charges that he defrauded investment advisory clients out of nearly $200,000 in violation of Section 206(2) of the Advisers Act. Hoover is currently serving a 18 months prison sentence, which will be followed by 3 years of supervised release during which he will be barred from providing any financial services or acting as the custodian for funds belonging to other people.
