The Securities and Exchange Commission ("Commission") deems it appropriate and in the public interest that administrative proceedings pursuant to Section 17A(c)(4)(C) of the Securities Exchange Act of 1934 ("Exchange Act") be and hereby are instituted against Robert Bogutski. In anticipation of these proceedings, Mr. Bogutski has submitted an Offer of Settlement to the Commission, which the Commission has determined to accept. Solely for the purposes of this proceeding and any other proceeding brought by or on behalf of the Commission or in which the Commission is a party, prior to a hearing pursuant to the Commission's Rules of Practice, 17 C.F.R.  201.100 et seq., and, without admitting or denying the findings contained in this Order, except for the criminal conviction found in paragraph II.B., the permanent injunction found in paragraph II.C., and the in personam and subject matter jurisdiction of the Commission over both him and the matters set forth in this Order, which are admitted, Mr. Bogutski consents to the entry of an order instituting public administrative proceedings, and the findings and remedial sanctions set forth below. ======END OF PAGE 1====== II. On the basis of this Order and the offer of settlement submitted by Mr. Bogutski, the Commission finds that:<(1)> A. Idata, Inc., a Texas corporation with its principal place of business in Dallas, Texas, was a transfer agent registered with the Commission [84-1526], from May 10, 1987, until March 9, 1997, when its registration was withdrawn. Idata served as transfer agent to Enviromint Holdings, Inc. ("EHI") at all times relevant to this proceeding. B. Mr. Bogutski, a resident of Dallas, Texas, served as president of Idata from May 1987 until June 1993, and was a control person of Idata as that term is defined in Section 20(a) of the Exchange Act. In 1989, Bogutski pleaded guilty to a felony count of embezzling funds from a national bank, an offense specified in Section 15(b)(4)(B) of the Exchange Act. C. Mr. Bogutski was permanently enjoined from future violations of Sections 10(b) and 17A of the Exchange Act, and Rules 10b-5 and 17Ad-10 promulgated thereunder, in a civil action styled Securities and Exchange Commission v. Enviromint Holdings, Inc., et al., USDC ND/TX (Dallas) No. 3:95-CV-2192-H, by an order dated January 14, 1998 based upon his participation, through Idata, in a scheme relating to the offer and sale of EHI securities. D. The Complaint in the referenced civil action alleges that Bogutski destroyed Idata's securities transfer records for EHI's predecessor company, and created false or misleading transfer records for EHI. By these activities, the principals of EHI converted shares of the predecessor to themselves and their nominees, and concealed their control of the company. During the period from March 1992 to and including June 1993, EHI securities were offered and sold through a national stock ex- change, and by the means and instrumentalities of interstate commerce.<(2)> The principals of EHI, individually and through the accounts of companies under their control, sold approximately 2.5 million EHI shares during this period, at prices ranging up to $5.00 per share; <(1)> The findings herein are made pursuant to Mr. Bogutski's Offer of Settlemeent and are not binding on any other person or entity named in this or any other proceeding. <(2)> Securities of Enviromint traded on the Boston Stock Exchange, and over-the-counter, by means of the National Association of Securities' Dealers OTC Bulletin Board. ======END OF PAGE 2====== III. Based upon the foregoing, the Commission deems it appropriate and in the public interest to impose the sanctions specified by Bogutski in the Offer of Settlement he has submitted. IT IS HEREBY ORDERED that Respondent Robert Bogutski be, and hereby is, barred from association with any broker, dealer, municipal securities dealer, transfer agent, investment adviser or investment company.
