  • Special Notice Concerning Delivery of Filings to the Premerger Office
    Please note that security measures in place at the Commission may cause delays in the receipt of filings sent via shipping companies such as FedEx and UPS.  All shipped packages must be processed by the mailroom before delivery to the Premerger Office.  This processing may take some time.  The Waiting Period for the transaction does not start until receipt of all relevant filings by the Premerger Office.  If starting the Waiting Period by a certain date is crucial to the transaction, the safest ways to submit a filing are by direct courier or by filing electronically.
  • Access problems with e-filing web site.
    There is a known error that may prevent Internet Explorer from opening the HSR.GOV web page. If you have trouble loading the web page, access may be had through another browser such as Firefox. Notice will be posted here when the access problem has been fixed.

  • In order to help staff review each HSR filing as expeditiously as possible, please remember the following helpful hints:

    (1) place a label on each attachment indicating the name of the filing person, the date of the filing, and the attachment number. Attachment numbers should correlate to the appropriate item on the form (e.g. 4(c)-1, 4(c)-2 instead of Attachment 1 or Document A);
    (2) do not use tabs to separate documents;
    (3) staple or clip the HSR form and attachments together instead of binding the documents; and
    (4) submit filings in a redweld or other folder instead of a notebook.

  • Special notice on calling Premerger staff for HSR advice
    The Premerger staff receives hundreds of calls each week, thousands of calls every year, asking for interpretations of the HSR statute and rules. Many of the questions can be answered by reference to the statute, rules and information contained on this web site. Given the high volume of calls, we recommend that you review these online materials before placing a call to the PNO. It is also helpful if you wait until the structure of the transaction is as close as possible to being finalized before calling to analyze HSR reportability.
