                SEC to Conduct Media Briefings on
Market Structure Rule Proposal and Auditor Independence Hearings

     Washington, DC, July 24, 2000 -- The Securities and Exchange
Commission will conduct two media briefings on Tuesday, July 25,
2000.  The first briefing will be on the market structure rule
proposal that the Commission will consider at its open meeting on
July 25, 2000.  The second briefing will be on the auditor
independence public hearing that the Commission will conduct on
July 26, 2000.

Briefing #1

What:  Media briefing to discuss the market structure rule
       proposal the Commission will have just considered at its open
       meeting.

When:  Tuesday, July 25, 2000, approximately 11:30 a.m.
       (Briefing will take place immediately after open meeting, which
       begins at 10:00 a.m.).
