                       FEE RATE ADVISORY


     Washington, D.C., October 24, 1997 -- The current continuing
resolution has been extended through November 7, 1997.  As a
result of this extension, the fee rate for Section 6(b) filings
will remain at the current 1/33rd of one percent of the aggregate
offering amount.  This fee is calculated by dividing the
aggregate offering amount by 3300.

     This rate will be in effect until November 7 or until the
pending appropriations bill is enacted.  When the pending
appropriations bill is enacted, the fee rate will be decreased to
$295 per $1,000,000 (pro rated for amounts less than $1,000,000).
This fee will be calculated by multiplying the aggregate offering
amount by .000295.

     The Commission will issue further notices as appropriate to
keep filers and registrants informed of developments affecting
the Section 6(b) fee rate.  This information will be posted at
the SEC's internet address
