The Commission temporarily suspended trading in the securities of IGDC due to a lack of current and accurate information about the company because it has not filed periodic reports with the Commission since the quarter ended March 31, 2005. This order was entered pursuant to Section 12(k) of the Securities Exchange Act of 1934 (Exchange Act). The Court of Appeals affirmed the Commission's findings that Respondents violated antifraud provisions of the Securities Exchange Act of 1934 by filing quarterly and annual reports containing material misrepresentations between June 30, 1994 and Dec. 31, 1995; that the Fund violated provisions of the Exchange Act and Calandrella, Powell, and Thygesen aided and abetted and were a cause of reporting violations by filing reports that were not in compliance with Generally Accepted Accounting Principles and that contained material misrepresentations. The Court of Appeals directed the Commission on remand to reconsider the sanctions in light of its determination to vacate some of the violations found by the Commission. Among the issues likely to be argued are: 1. Whether it is in the public interest to prohibit Calandrella, Powell or Thygesen from associating with or acting as an affiliated person of an investment company; 2. Whether civil money penalties should be imposed against Calandrella, Powell or Thygesen, and if so, in what amount; and 3. SEC'S OFFICE OF THE CHIEF ACCOUNTANT AND DIVISIONS OF CORPORATION FINANCE AND INVESTMENT MANAGEMENT RELEASE STAFF ACCOUNTING BULLETIN 108 The U.S. Securities and Exchange Commission's Office of the Chief Accountant and Divisions of Corporation Finance and Investment Management announced today the release of a Staff Accounting Bulletin that provides interpretive guidance on how the effects of the carryover or reversal of prior year misstatements should be considered in quantifying a current year misstatement. There have been two common approaches used to quantify such errors. Under one approach, the error is quantified as the amount by which the current year income statement is misstated. The other common approach quantifies the error as the cumulative amount by which the current year balance sheet is misstated. Exclusive reliance on an income statement approach can result in a registrant accumulating errors on the balance sheet that may not have been material to any individual income statement, but which nonetheless, may misstate one or more balance sheet accounts. Similarly, exclusive reliance on a balance sheet approach can result in a registrant disregarding the effects of errors in the current year income statement that result from the correction of an error existing in previously issued financial statements. The SEC staff believes that registrants should quantify errors using both a balance sheet and an income statement approach and evaluate whether either approach results in quantifying a misstatement that, when all relevant quantitative and qualitative factors are considered, is material. Chief Accountant Conrad W. Hewitt stated, "Consistent application of the guidance in this Staff Accounting Bulletin will result in more accurate financial reporting for investors." Hewitt also stated, "The staff will not object if a registrant records a one-time cumulative effect adjustment to correct errors existing in prior years that previously had been considered immaterial - quantitatively and qualitatively - based on appropriate use of the registrant's previous approach." The Staff Accounting Bulletin describes the circumstances where this would be appropriate as well as the required disclosures to investors. (Press Rel. 2006-153) ENFORCEMENT PROCEEDINGS SECURITIES AND EXCHANGE COMMISSION ORDERS HEARING ON REGISTRATION REVOCATION AGAINST FIVE DELINQUENT COMPANIES FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS Today the Commission instituted public administrative proceedings to determine whether to revoke or suspend for a period not exceeding twelve months the registrations of each class of the securities of five companies for failure to make required periodic filings with the Commission: Amour Fiber Core, Inc. Bracknell Corp. Continental Real Estate Partners, Ltd. Global Chase Industries, Inc. National Healthcare Manufacturing Corp. In this Order, the Division of Enforcement (Division) alleges that the five issuers are delinquent in their required periodic filings with the Commission. In this proceeding, instituted pursuant to Exchange Act Section 12(j), a hearing will be scheduled before an Administrative Law Judge. At the hearing, the judge will hear evidence from the Division and the respondents to determine whether the allegations of the Division contained in the Order, which the Division alleges constitute failures to comply with Exchange Act Section 13(a) and Rules 13a-1 and 13a-13 thereunder, are true. The judge in the proceeding will then determine whether the registrations pursuant to Exchange Act Section 12 of the securities of these respondents should be revoked or suspended for a period not exceeding twelve months. The Commission ordered that the Administrative Law Judge in this proceeding issue an initial decision not later than 120 days from the date of service of the order instituting proceedings. (Rel. 34-54432; File No. 3-12415) COMMISSION SUSTAINS PHILADELPHIA STOCK EXCHANGE FINDINGS OF REPORTING AND RECORDKEEPING PROVISIONS AGAINST MEMBER FIRM The Commission has sustained the Philadelphia Stock Exchange's findings that PennMont Securities, a PHLX member firm, violated Exchange Act Section 17(a), Rules 17a-3 and 17a-5 thereunder, and PHLX Rules 703 and 760, by filing with PHLX periodic reports in August and September 2002 that included incorrect calculations of PennMont's net capital. In support of this conclusion, the Commission noted that PHLX had found that PennMont had committed similar violations on two earlier occasions and that the Commission's Philadelphia District Office had also found similar violations during an earlier routine examination of the firm. The Commission held that PHLX's censure of PennMont and its imposition of a $5,000 fine on the firm was neither excessive nor oppressive. (Rel. 34-54434; File No. 3-12151) SEC v. FRANK FURINO The Commission announced today that the Honorable Sterling R. Johnson, Jr., U.S. District Judge for the Eastern District of New York, entered a final judgment against Frank J. Furino (Furino) on Sept. 11, 2006. The judgment permanently enjoins Furino from further violations of the antifraud provisions of the federal securities laws (Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder). The judgment also orders Furino to disgorge $79,500 of illicit profits and to pay a civil penalty of $25,000. The Commission's complaint, filed on March 9, 2005, alleged that Furino, a clerk for a floor broker on the New York Stock Exchange, had access to the purchase and sell orders of the floor broker's customers. Furino routinely informed a day trader by telephone of the security, quantity, price, and side (buy or sell) associated with large customer orders, after the floor broker received, but before it executed, these orders. On at least 58 occasions, the day trader used the information obtained from Furino to trade ahead of the floor broker's customers. DENNIS MARTIN On September 11, the Honorable Timothy A. Batten, Sr., U.S. District Judge for the Northern District of Georgia, entered a final judgment by default against defendant Dennis A. Martin, a resident and registered representative of Marietta, Georgia. The final judgment permanently enjoined Martin from future violations of Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. Martin was ordered to pay disgorgement, prejudgment interest and a civil penalty in the respective amounts of $5,130,835.21, $124,593.79 and $250,000. Martin was ordered to pay the above amounts within 10 business days from the entry of the final judgment. The complaint alleged and the Court found that from February 2005 through May 2006, Martin recommended to many customers that they sell variable annuity contracts that they owned and within a short time purchase new variable annuity contracts with higher principal amounts. Martin also recommended that his customers invest the proceeds from the sale of their variable annuity contracts in a money market fund or in a closed-end fund for a short time prior to purchasing the new variable annuity contracts. Based on Martin's representations, the customers authorized the transactions; however, Martin did not invest the proceeds as authorized. Instead, Martin submitted forged documents to the variable annuity companies surrendering the contracts and directing those companies to mail the proceeds directly to him. Martin forged his customers' names on the checks and deposited them into a bank account in the name of First Financial Group, a fictitious name under which Martin conducted business. Additionally, Martin obtained some of the checks from customers for the purpose of purchasing securities. Martin misappropriated those funds, and used the funds to pay business and personal obligations. The Commission established and the Court found that Martin obtained in excess of $5 million in the scheme. [SEC v. Dennis A. Martin, Civil Action File No. 1:06-CV-1078 (N.D. Ga.)] (LR-19828) SEC FILED FRAUD CHARGES AGAINST SAN FRANCISCO-BASED PENNY STOCK COMPANY, SUSPENDED TRADING IN ITS SECURITIES, AND INSTITUTED ADMINISTRATIVE PROCEEDINGS AGAINST IT FOR FAILURE TO MAKE REQUIRED PERIODIC FILINGS On September 13, the Commission announced the filing of securities fraud charges against San Francisco-based Indigenous Global Development Corporation (IGDC) and its chief executive officer, Deni G. Leonard (Leonard), alleging that they raised more than $2 million from investors through materially false and misleading statements about IGDC's purported natural gas business. The Commission's complaint, filed in federal court in San Francisco, alleges IGDC and Leonard made false claims in press releases and SEC filings about investments IGDC purportedly had received and about IGDC's ability to purchase gas from indigenous peoples in Canada at a discount and then resell that gas into the United States for a significant profit. In fact, IGDC had not received an investment, had no binding agreements to purchase or sell natural gas, and was teetering on the brink of extinction. The Commission's complaint charges IGDC and Leonard with violations of Section 17(a) of the Securities Act of 1933, Sections 10(b) and 13(a) of the Securities Exchange Act of 1934 (Exchange Act), and Rules 10b- 5, 12b-20, 13a-1, and 13a-13 thereunder. It also charges Leonard with violating Rule 13a-14 under the Exchange Act. The Commission seeks penalties, disgorgement, and injunctive relief from all defendants, and also seeks orders barring Leonard from participating in an offering of penny stock and from serving as an officer or director of a public company. Separately, the Commission temporarily suspended trading in the securities of IGDC due to the lack of current and accurate information concerning the company because it had not filed a periodic report with the Commission since the quarter ended March 31, 2005. The suspension began at 9:30 a.m. EDT on Sept. 13, 2006 and terminates at 11:59 p.m. EDT on September 26, 2006. This order was entered pursuant to Section 12(k) of the Exchange Act. In addition, the Commission announced the institution of administrative proceedings against IGDC pursuant to Section 12(j) of the Exchange Act to determine whether the registration of IGDC's securities should be revoked or suspended for a period not exceeding twelve months. The Commission's Division of Enforcement (Division) alleges that IGDC failed to comply with Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder by not filing a periodic report since its report on Form 10-QSB for the quarter ended March 31, 2005. In this proceeding, a hearing will be scheduled before an Administrative Law Judge. At the hearing, the judge will hear evidence from the Division and IGDC to determine whether the allegations of the Division are true.
