EDGAR Ownership XML Technical Specification (Version 2)

Effective Date: June 23, 2008

The EDGAR Ownership XML Technical Specification (Version 2) provides, to those filers that are interested, a basis for creating XML ownership submissions without the use of the EDGAR OnlineForms/XML Website. The expectation is that software developers, working on behalf of filers, will construct software that will generate an XML Ownership submission that can be successfully parsed by the EDGAR system.

This release introduces the following changes:

• Ownership Forms 3, 3/A, 4, 4/A, 5, and 5/A XML Style Sheets have been changed to display the new OMB Expiration Date of February 28, 2011
   
• Updates to the XML Schema for Ownership Forms have been made to Forms 3, 3/A, 4, 4/A, 5, and 5/A. Specifically, on Forms 4, 4/A, 5, and 5/A it is now a schema violation to include footnote indicators for fields that do not allow footnotes. In addition, the Version Numbers on each schema file has changed. NOTE: On Forms 3 and 3/A only the Version Number changed.

The following EDGAR Ownership XML Technical Specification documents detail the valid structure and content of the six EDGAR Ownership submission types (Forms 3, 4, 5, 3/A, 4/A, and 5/A).
